  6. Ensuring the necessary policies, procedures, Terms of the Reference, other related documents with regards to Corporate Governance are available and review of the same to ensure it is updated.
  7. Corporate Secretarial & Company Statutory (as required by the Companies Act 2016) 
    records keeping and maintenance.
  8. Coordinate on Directors Remuneration payment every quarter, directors’ claims, etc.
     

Skills Required

  • Knowledge of Companies Act 2016
  • Knowledge of Capital Markets and Services Act 2007
  • Familiarity with Bursa Listing Requirements (if applicable)
  • Understanding of Malaysian Code on Corporate Governance
  • Experience in company secretarial compliance and corporate governance
  • Preparation and review of board/committee meeting papers, notices and resolutions
  • Attendance at meetings and drafting/reviewing minutes for boards, shareholders and committees
  • Maintenance of statutory books, records and company statutory filings
  • Coordination of directors' remuneration payments and claims
  • Developing and reviewing governance policies, procedures and Terms of Reference
