Job Overview:
We are seeking a highly skilled Legal Contractor to support our team in an ongoing Mergers & Acquisitions (M&A) transaction. The successful candidate will assist with legal due diligence, contract review, drafting transaction documents, and ensuring compliance with regulatory requirements. This is a contract role requiring expertise in M&A transactions and corporate law.
Key Responsibilities:
- Conduct and manage legal due diligence, identifying risks and advising on mitigation strategies.
- Draft, review, and negotiate M&A-related agreements, including NDAs, LOIs, purchase agreements, and disclosure schedules.
- Support corporate governance matters, including board resolutions and shareholder consents.
- Liaise with internal stakeholders, external counsel, and regulatory bodies to ensure compliance with federal, state, and international laws.
- Provide legal research and analysis on M&A-related legal issues.
- Maintain proper documentation and legal records for the transaction.
- Manage the VDR and documentation for diligence
- Manage disclosure schedules, ensuring accurate documentation of contracts, litigation matters, regulatory compliance, financial obligations, intellectual property, and employee agreements.
- Support global entity management, including reviewing corporate organizational charts, maintaining legal entity records, and ensuring compliance with jurisdictional requirements.
- Oversee diligence items, including contract reviews, intellectual property assessments, data privacy considerations, and financial liabilities.
Qualifications:
- J.D. from an accredited law school and admission to at least one U.S. state bar.
- 5+ years of experience in M&A transactions, preferably in a corporate law firm or in-house legal team.
- Strong understanding of corporate structures, deal negotiations, and securities regulations.
- Excellent contract drafting, negotiation, and analytical skills.
- Ability to work independently and manage multiple priorities under tight deadlines.
- Experience working with cross-functional teams, including finance, tax, and business operations.
- Strong organizational skills and attention to detail.
Preferred Qualifications:
- Experience with private equity or venture capital transactions.
- Familiarity with international M&A laws and cross-border transactions.
