  • M&Aアドバイザリー業務はグローバルに約25年の歴史があり、年間約1,400件の案件を支援しています。
  • 日本においては、各業界のリーディングカンパニーによる大規模かつ複雑性の高い案件で多数の実績を有しています。クロスボーダー案件が中心であることから、海外オフィスのM&A及びその他部門のメンバーと日常的に連携しています。
  • 支援する案件は、買収のみならず、カーブアウト(事業分離・売却)、JV設立、組織再編、さらに海外企業による日本企業の買収など多岐にわたります。
  • 業務の中心である海外買収(アウトバウンド)案件では、デューディリジェンス、経営者リテンション策立案、買収後の経営者LTI(Long-Term Incentive)設計、組織・ガバナンス設計、サクセッションプランニング支援などがスコープとなります。

  • プロジェクトマネジメント(案件の目的、取引ストラクチャーや各国法規制などに絡む複数の論点を横断したPM、クライアント及び海外チームとのコミュニケーション)
  • M&Aにおける組織・人の面でのリスクの特定、重要度の評価、リスク低減策の立案・実行支援
  • ディール遂行に関するアドバイス、交渉支援、プロジェクト運営の最適化
  • PMI(人事制度改定・統合、バリューアップ施策など)全般の設計・実行
  • 高品質なデリバリーを通じた後続案件の獲得

You need to have:

  • クロスボーダーM&Aにおける組織・人事的な課題についての理解及び強い関心 およびコンサルティングファームもしくは事業会社での以下いずれかのご経験
  • クロスボーダーM&A(買収、売却。買収の場合PMIを含む)
  • グローバル組織再編(カーブアウトによる別法人化、拠点統廃合、リストラクチャリング、清算)
  • グローバル組織・人事制度設計及びロールアウト
  • 英語:ビジネスレベル必須 ※海外案件が主体であるため、英語での資料作成(含、資料の日英翻訳)、海外チームとの英語でのコミュニケーション(メール及び会議)が頻繁に発生します。なお、これまで国内案件中心に経験をされて来て、今後はクロスボーダー案件の経験を積みたいという方も(英語力要件が満たされれば)歓迎します。

Skills Required

  • Strong understanding of and interest in organizational and human resources issues in cross-border M&A, supported by strong motivation
  • Global project management experience at a consulting firm
  • Alternatively, project management experience involving overseas locations within corporate planning, management administration, or human resources at an operating company
  • Business-level English proficiency, approximately TOEIC 850 or higher
  • Experience with M&A transactions, including acquisitions, divestitures, and PMI
  • Experience with organizational restructuring, carve-outs, site consolidation, restructuring, or liquidation
  • Experience designing and rolling out global organizational or HR systems
