チーム概要：

• 世界各地に人員を配するグローバルチームのメンバーとして、「組織と人」の観点から、日本企業が関与するクロスボーダーM&A（買収、合併、売却）案件を支援するコンサルタントポジションです。
• M&Aアドバイザリー業務はグローバルに約25年の歴史があり、年間約1,400件の案件を支援しています。
• 日本においては、各業界のリーディングカンパニーによる大規模かつ複雑性の高い案件で多数の実績を有しています。クロスボーダー案件が中心であることから、海外オフィスのM&A及びその他部門のメンバーと日常的に連携しています。
• 支援する案件は、買収のみならず、カーブアウト（事業分離・売却）、JV設立、組織再編、さらに海外企業による日本企業の買収など多岐にわたります。
• 業務の中心である海外買収（アウトバウンド）案件では、デューディリジェンス、経営者リテンション策立案、買収後の経営者LTI（Long-Term Incentive）設計、組織・ガバナンス設計、サクセッションプランニング支援などがスコープとなります。

We will count on you to:

• プロジェクトマネジメント（案件の目的、取引ストラクチャーや各国法規制などに絡む複数の論点を横断したPM、クライアント及び海外チームとのコミュニケーション）
• M&Aにおける組織・人の面でのリスクの特定、重要度の評価、リスク低減策の立案・実行支援
• ディール遂行に関するアドバイス、交渉支援、プロジェクト運営の最適化
• PMI（人事制度改定・統合、バリューアップ施策など）全般の設計・実行
• 高品質なデリバリーを通じた後続案件の獲得

You need to have:

• クロスボーダーM&Aにおける組織・人事的な課題についての理解及び強い関心 およびコンサルティングファームもしくは事業会社での以下いずれかのご経験
• クロスボーダーM&A（買収、売却。買収の場合PMIを含む）
• グローバル組織再編（カーブアウトによる別法人化、拠点統廃合、リストラクチャリング、清算）
• グローバル組織・人事制度設計及びロールアウト
• 英語：ビジネスレベル必須　※海外案件が主体であるため、英語での資料作成（含、資料の日英翻訳）、海外チームとの英語でのコミュニケーション（メール及び会議）が頻繁に発生します。なお、これまで国内案件中心に経験をされて来て、今後はクロスボーダー案件の経験を積みたいという方も（英語力要件が満たされれば）歓迎します。
