The Role

We are looking for a Corporate Counsel, our first legal hire, to own the legal function and act as a daily advisor to the entire company on a wide range of legal topics. The role will work cross functionally with all Circles advising on topics such as contracts, transactions, terms and conditions, non-disclosure agreements, employment law, and regulatory compliance to name a few. We are looking for an action-oriented leader who can thrive in a fast-paced environment, handle ambiguity, communicate efficiently and effectively, build best practices, and focus on key risks while employing an empathetic interpersonal style. The Corporate Counsel will report to the Head of Operations.

Who we are looking for

• J.D. from an ABA accredited law school
• 6+ years experience at a firm or in-house in areas including but not limited to commercial contracts, technology, mergers and acquisitions and employment law
• Experience and understanding of corporate law, contract drafting, and interpretation.
• Excellent written and verbal communication skills with all levels of management
• Excellent critical thinking and analytical abilities, particularly in developing conceptual understanding of new topics for yourself and others, with an emphasis on understanding preferential business terms
• Demonstrated ability to build trust and strong cross-functional relationships across the company to achieve common goals
• Detail-oriented and dynamic team player who thrives in a fast-paced environment
• Current license to practice law in at least one state. License in good standing with relevant board. (Ohio preferred; interest in obtaining Ohio license preferred)
• Experience in technology or healthcare industries (preferred not required)
• Experience with/at technology start-up(s) (preferred not required)

What you will do

• Review, draft, revise and negotiate commercial agreements, including vendor agreements, NDAs, and BAAs, among others.
• Advise the business on legal matters, provide guidance on contract issues, and advise the business on risk mitigation.
• Educate the business on the legal process to protect the company’s interests during all aspects of contract negotiations and other company initiatives.
• Provide practical counsel to Circles on privacy, regulatory, and employment law issues related to new and existing products.
• Assist with fundraising process including coordination with investor’s counsel.
• Design, implement, and iterate on policies, processes, and procedures to manage legal and business risks in healthcare, emerging technology and employment law on a national scale.
• Maintain current knowledge of legislation in technology, US business law, healthcare, and other industries pertinent to the company.
• Own relationships with all outside counsel and serve as first point of contact on all legal matters.
