Texas Capital’s legal department is a close-knit team that works together in a fast-paced professional environment. We have expertise in a wide array of legal fields and have decades of collective experience providing world class legal services in private law firms and in-house legal departments. We strive for excellence and are looking to add another valuable asset to our team.

We are transforming how we manage clients’ business entity documentation and authority across critical areas: onboarding complex client business structures as well as ongoing authority management, with an emphasis on commercial real estate, energy fund sponsors, private wealth and treasury services.

We are building a relationship-level operating model to improve client experiences, increase our expertise in managing complex business structures, and improve the onboarding and ongoing relationship support we offer. We aim to gain efficiencies by eliminating redundant processes while preserving legal requirements.

A successful person in this role will understand complex business structures and their governing documents, including nested entities and multi-level entities, real estate-specific and infrastructure-specific investment structures, investment funds, fund sponsors, family office and wealth management structures, and private equity structures. This will be the governance and documentation specialist Texas Capital needs: a result-oriented person with a strong degree of common sense and practical problem-solving ability who reviews governing documents for control and authority, maintains accurate systems of record, flags risks and exceptions, and partners across legal, compliance, operations, and credit teams. This person will be resourceful, communicative, dependable, and excellent at interacting with teams across the firm.

Responsibilities:Complex Entity Onboarding and Ongoing Management
  • Read, analyze and confirm legal authority delegated under business organization constituent documents (operating agreements, limited partnership agreements, corporate bylaws, articles of incorporation, trust agreements, resolutions, secretary certificates and incumbency certificates).
  • Construct and maintain legal structure charts for complex business structures, including nested entities, sponsor families, commercial real estate and private fund structures, and multi-SPV clients.
  • Build and maintain authority matrices: distinguish entity-level legal representatives, bank-authorized signers, treasury approvers, and digital preparers with documented evidence and effective dates.
  • Prepare standardized entity documentation packages for account opening, lending clients and delegated authority/entitlements.
  • Flag and route refresh triggers (ownership changes and other changes of control, new GPs/trustees, expired documents, credit structure changes) to internal stakeholders.
  • Track open items, coordinate customer document corrections, and maintain accurate systems of record.
  • Coordinate across legal, compliance, treasury, operations, and credit stakeholders regarding documentation and authority matters.
  • Contribute to policy development: setting consistent client expectations, standardized document acceptance criteria, and authority escalation processes.
  • Raise exceptions and novel structures through appropriate approval channels.

Qualifications

  • Paralegal, JD or equivalent experience: experience in financial services, entity formation and delegations of authority, or equivalent experience will be strongly considered.

  • 3+ years of experience with entity formation, working with constituent documents, fund structures, bank operations or complex commercial KYC/onboarding.

  • Domain experience is a plus: real estate finance, fund formation and administration, commercial banking onboarding, mortgage banking, or similar financial services experience.

  • Competent in legal document analysis, business organization governing documents, workflow coordination, exception handling.

  • Ability to trace ownership and control structures through multiple layers (funds, general partners, management companies, special purpose entities).

  • Coachable, strong desire to learn and improve.

  • Familiarity with corporate and business authority, beneficial ownership concepts, and KYC, KYB and AML.

  • Responsible, conscientious, well-organized, and comfortable owning systems of record rather than relying on ad-hoc email threads.

  • Takes ownership in coordinating across legal, compliance, treasury, operations, and credit teams.

  • Strong written communication: you can write concise emails and prepare logical, easy-to-understand business documentation packets.

  • Takes the initiative and executes with appropriate urgency in a client-focused, deadline-oriented environment.

  • Excellent listening skills and a team player.

  • Demonstrated clarity in written and spoken expression.
