Job Description Summary:

The Legal Due Diligence Associate will be primarily responsible for reviewing legal documents and contributing to the firm’s investment manager investment due diligence process.

Responsibilities:

Work within a team conducting legal and operational due diligence on hedge fund, private equity and venture capital managers. Review investment fund organizational documents, including private placement memoranda, limited partnership agreements and articles of association. Prepare written summaries of fund terms and risks, identify key provisions of fund organizational documents, and outline related business and operational highlights and considerations. Coordinate with the investment due diligence research teams on investment manager business risk and operational due diligence reviews.  Contribute to the due diligence reports and assist in the negotiation of terms. If appropriate, participate in manager meetings.  Contribute to initial manager assessment process. Synthesize data and legal insight to prepare white papers and spreadsheets for internal research and external marketing purposes.

Qualifications:

  • Legal and investment industry experience required. JD preferred.
  • 2-5 years of relevant work experience within the securities environment (hedge funds, mutual funds, private equity or venture capital) OR within a law firm as a paralegal OR
  • 1-3 years of experience with an advanced degree
  • Knowledge of investment vehicle structures and investment strategies; Familiarity with the mechanics around private fund operations.
  • Excellent written and oral communication skills. 
  • Solution oriented with strong analytical skills and the appropriate level of skepticism and curiosity.
  • Highly-organized and detail-oriented with the ability to prioritize multiple requests for information, while ensuring integrity, accuracy, completeness, and timeliness of data. 
  • Excellent interpersonal skills and an ability to work well with and instill confidence in clients and colleagues at various levels of seniority.
  • Comfort working in a flat organizational environment.
  • Ability to work both independently and in a team under time pressure, and show interest in learning and utilizing AI platforms.
  • Positive, collegial, and professional, with the ability to collaborate effectively and contribute positively in a team-oriented environment.
  • Ability to meet tight deadlines, adapt to changing responsibilities, and take initiative and ownership of work
  • Willingness to operate in a hybrid work environment

Base salary range for this role:

Pay Range Minimum:

105000

Pay Range Maximum:

112000

In addition to the listed salary range, this position is eligible for an annual performance-based bonus and a comprehensive, competitive benefits package. Actual placement within the stated salary range will be determined based on factors such as skills, experience, and qualifications, as well as internal equity.
