我们正在寻找一位经验丰富、积极主动的法律顾问，加入我们助力公司在新能源领域的稳健发展。本职位将专注于为中国区业务提供全方位的法律支持，核心职责包括复杂的商业合同处理、重大项目支持以及法律风险管理，是业务部门不可或缺的战略合作伙伴。

We are seeking an experienced and proactive Legal Counsel to support our company's steady growth in the new energy sector. This position will focus on providing comprehensive legal support for our China operations, with core responsibilities including handling complex commercial contracts, supporting major projects, and managing legal risks, serving as a strategic partner to the business.

主要职责 / Key Responsibilities

1. 合同法律管理：主导或参与公司中国区各类业务合同的全生命周期管理，负责起草、审阅、修订及谈判各类复杂的商业合同，重点关注供应链与采购协议、EPC（设计、采购、施工）合同、技术许可协议、中国区产品销售合同及各类服务协议。

Contract Law Management: Manage the end-to-end contract lifecycle for all business operations in China. Key responsibilities include drafting, reviewing, revising, and negotiating complex commercial agreements, with a focus on supply chain and procurement agreements, EPC (Engineering, Procurement, and Construction) contracts, technology licensing agreements, product sales contracts for the China market, and various service agreements.

2. 核心业务法律支持：作为中国区现场管理和各职能部门值得信赖的法律支持窗口，深度对接中国区各业务部门，为公司的核心运营、采购及技术等部门提供及时、精准的法律咨询与解决方案；针对业务模式和创新项目提供法律可行性分析和风险评估；解答业务过程中的法律疑问，保障业务决策的合法性。

Core Business Legal Support: Serve as a key legal partner and trusted helpdesk for local site management and all functional leaders in China, including Operations, Procurement, and R&D. Provide timely and precise legal advice and solutions, deliver feasibility analysis and risk assessment for new business models and projects, and address daily legal inquiries to ensure all business decisions are made in compliance with the law.

3. 法律风险管理与争议解决：识别、评估和预警公司运营中的法律风险，并制定防范策略；独立或协同外聘律师处理相关的诉讼、仲裁及其他法律纠纷。监测可能对公司业务产生影响的法律法规动态，并及时向法务团队成员及内部相关方传达更新。

Legal Risk Management & Dispute Resolution: Identify, assess, and pre-warn of legal risks in company operations, developing prevention strategies. Independently or in collaboration with external counsel, handle relevant litigation, arbitration, and other legal disputes.

4. 重大项目法律支持：参与公司重大投资及建设等项目，协助法律尽职调查、交易结构设计、项目文件起草与审核等，确保项目合法合规推进。

Legal Support for Major Projects: Provide legal support for the company's major investment and construction projects. Participate in legal due diligence, transaction structuring, and the drafting and review of project documents to ensure all projects advance in full legal and regulatory compliance.

5. 法规监测与合规支持：监测可能对公司业务产生影响的法律法规动态，及时向其他法务团队成员及内部相关方传达更新，并提供相应的合规建议。

Regulatory Monitoring & Compliance Support: Monitor regulatory developments that may have an impact on the Company’s business, provide timely updates to legal team members and internal stakeholders, and offer relevant compliance recommendations.

6. 参与公司治理与制度制定：协助处理公司法人治理相关的中国区法律事务，支持制定并定期更新公司法律相关制度和流程，以完善公司治理并提升运营效率。

Corporate Governance & Policy Development: Assist with corporate governance-related legal affairs for the China region and support the formulation and regular update of the company's legal-related policies and procedures to ensure sound corporate governance and enhanced operational efficiency.

7. 培训：组织和开展法律与合规等相关培训。

Training: conduct legal and compliance trainings for the organization.

8. 完成上级交办的其他法务相关工作。

Perform other legal-related duties as assigned by the supervisor.

任职要求 / Qualifications

• 教育背景与资格：全日制法学本科及以上学历；通过国家统一法律职业资格考试（司法考试）。

Education & Certification: Full-time Bachelor's degree in Law or above; has passed the National Unified Legal Professional Qualification Examination (Judicial Examination).

• 工作经验：5年及以上法律工作经验。具备化工、能源、或重工业领域经验者优先考虑。

Experience: Minimum 5 years of legal working experience. Candidates with experience in the chemical, energy, or heavy industry sectors will be given high priority.

• 语言能力：优秀的书面英语能力，能够独立起草、审阅和修改英文合同及商务邮件。

Language Skills: Excellent written English skills, with the ability to independently draft, review, and revise English contracts and business emails.
