Legal Counsel (Cố Vấn Pháp Lý)

1. Legal Advisory/ Tư vấn pháp lý
Provides legal advice and support to the business while keeping in mind the PVA’s strategic and business objectives. Provides direction and guidance to facilitate PVA’s compliance with all applicable international and domestic laws, rules and regulations. Collaborates with the Leader/Head of Legal to establish, disseminate and implement PVA’s legal policies. Completes legal tasks and projects in a timely manner and responds to legal queries assigned by the Leader/Head of Legal.

Đưa ra các tư vấn pháp lý và hỗ trợ cho hoạt động kinh doanh trong khi cân nhắc các mục tiêu chiến lược và kinh doanh của PVA. Cung cấp các hướng dẫn và định hướng để PVA tuân thủ tất cả các luật, quy tắc và quy định hiện hành trong nước và quốc tế. Phối hợp với Trưởng nhóm/Giám đốc Pháp lý xây dựng, phổ biến và thực hiện các chính sách pháp luật của PVA. Hoàn thành kịp thời các công việc, dự án pháp lý và giải đáp các vấn đề pháp lý do Trưởng nhóm/Giám đốc Pháp lý giao phụ trách.

2. Litigation/ Tố tụng

Supervises and is responsible for the adequate management of litigation or disputes between PVA and its customers. Represents PVA before courts, prosecutor and polices at levels to resolve matters in the best interest of PVA. Reports relevant litigation matters to the Leader/Head of Legal and provides updates to the relevant stakeholders.

Giám sát và chịu trách nhiệm xử lý hợp lý các vụ kiện tụng hoặc tranh chấp giữa PVA và khách hàng của mình. Đại diện cho PVA trước tòa án, công tố viên và công an các cấp để giải quyết các vấn đề vì lợi ích tốt nhất của PVA. Báo cáo các vấn đề tố tụng liên quan cho Trưởng nhóm/Giám đốc Pháp lý và cập nhật thông tin cho các bên liên quan.

Legal Documentation and Review / Soạn thảo và Rà soát tài liệu pháp lý
Drafts, reviews and negotiates contracts and other legal documents in order to maximize PVA’s legal protections whilst simultaneously minimizing legal risks. Produces and regularly updates standardized legal agreements, contracts and standard terms and conditions for the PVA in compliance with international best practices and applicable legal requirements. Assists the business in launching new products and conducts legal and regulatory due diligence on such products.

Soạn thảo, rà soát và đàm phán hợp đồng và các văn bản pháp lý khác nhằm bảo vệ PVA tốt nhất về mặt pháp lý, đồng thời giảm thiểu các rủi ro pháp lý. Xây dựng và thường xuyên cập nhật các thỏa thuận pháp lý, hợp đồng và các điều khoản và điều kiện đã được chuẩn hóa nhằm bảo đảm sự tuân thủ của PVA đối với các thông lệ quốc tế tốt nhất và các yêu cầu pháp lý hiện hành. Hỗ trợ đội ngũ kinh doanh tung ra các sản phẩm mới và tiến hành thẩm định pháp lý và tuân thủ đối với các sản phẩm đó.

3. Knowledge of External Environment / Cập nhật kiến thức về môi trường pháp lý
Stays abreast of new laws and regulations through continuous legal education, attending professional conferences, and participating in professional associations. Provides updates to PVA’s Management on new legislation and regulatory developments that may have an impact on PVA and advises on how to comply with such new legislation and regulations.

Cập nhật các luật và quy định pháp luật mới thông qua việc chia sẻ kiến thức pháp luật, tham dự các hội thảo chuyên môn và tham gia các hiệp hội nghề nghiệp. Cập nhật cho Ban lãnh đạo PVA về quy trình xây dựng các quy định pháp luật và tuân thủ mới có thể tác động đến PVA và tư vấn về cách tuân thủ các luật và quy định mới đó.

4. Knowledge Sharing / Chia sẻ kiến thức
Works closely and develops a positive professional relationship with the other members of the legal function and shares legal knowledge and best practices with legal colleagues, including providing formal and informal training sessions at the direction of the Leader/Head of Legal.

Làm việc chặt chẽ và phát triển mối quan hệ đồng nghiệp tích cực với các thành viên khác trong bộ phận pháp lý và chia sẻ kiến thức pháp lý và thực tiễn tốt nhất với các đồng nghiệp trong bộ phận pháp lý, bao gồm cả việc thực hiện các buổi đào tạo chính thức và không chính thức theo chỉ đạo của Trưởng nhóm/Giám đốc Pháp lý.
5. Stakeholder Management / Phối hợp với các bên liên quan

Liaises with external law firms and relevant authorities (such as courts) to ensure the effective resolution of all legal matters affecting PVA.

Liên hệ với các công ty luật và các cơ quan có liên quan (như tòa án) để đảm bảo giải quyết hiệu quả tất cả các vấn đề pháp lý ảnh hưởng đến PVA.

This role is/Vai trò của vị trí này là:

- Non-claim, claim litigation handling to protect PVA’s legal interest. Present as PVA’s authorized representative at Court, police, procuracy.  Preparation of supporting documents and co-ordination with the Company’s outside lawyers (if any) in litigation/legal matters and make sure that Leader/Head of Legal and Management Team are well updated on litigation/legal matters.

Xử lý các vụ kiện tụng liên quan hoặc không liên quan đến yêu cầu bồi thường bảo hiểm để bảo vệ lợi ích hợp pháp của PVA. Có mặt với tư cách là người đại diện theo ủy quyền của PVA tại Tòa án,

Công an, Viện kiểm sát. Chuẩn bị các tài liệu hỗ trợ và phối hợp với các luật sư thuê ngoài của Công ty (nếu có) trong các vấn đề tranh tụng/pháp lý và đảm bảo Trưởng nhóm/Giám đốc Pháp lý và Ban lãnh đạo Công ty được cập nhật đầy đủ về các vấn đề tranh tụng/pháp lý.

- Draft and review the Company’s contracts/agreements.

Soạn thảo và rà soát các hợp đồng/thỏa thuận của Công ty.

- Legal support and provisions of legal advice and opinions to all Departments in a timely and accurate manner.

Hỗ trợ về mặt pháp lý và đưa ra các tư vấn, ý kiến pháp lý cho tất cả các bộ phận một cách kịp thời, chính xác.

- Other tasks as assigned by Leader/Head of Legal from time to time.

Các nhiệm vụ khác như được giao bởi Trưởng nhóm/Giám đốc pháp lý vào từng thời điểm.

Job Requirements / Yêu cầu

• Bachelor’s degree in law or higher.

Bằng cử nhân luật trở lên.

• Seasoned experience as in-house or law firm counsel (5-7 years of experiences).

Có kinh nghiệm dày dạn với tư cách là cố vấn pháp lý nội bộ của công ty hoặc của công ty luật (5-7 năm kinh nghiệm).

• Industry knowledge and experience. Litigation experiences is a plus

Có kiến thức và kinh nghiệm trong ngành. Có kinh nghiệm tố tụng là một lợi thế.

• Strong language skill in English and Vietnamese. Good communication and interpersonal skill.

Có kỹ năng ngoại ngữ tốt bằng tiếng Anh và tiếng Việt. Có kỹ năng giao tiếp và ứng xử tốt.

• Persuasive, problem solving, generalization skills and decisive.

Có kỹ năng thuyết phục, giải quyết vấn đề, khái quát hóa và đưa ra quyết định.

• Be able to analyze complex issues, make sound judgments and propose different solutions.

Có khả năng phân tích các vấn đề phức tạp, đưa ra phán đoán đúng đắn và đề xuất các giải pháp khác nhau.
