Hedge Fund & Asset Management
- Review and draft fund documentation (e.g., offering memoranda, subscription agreements, investment management agreements).
- Provide legal support on fund structuring, investor onboarding (KYC/AML), and regulatory compliance.
- Liaise with external counsel, fund administrators, and regulators on operational and compliance matters.
Corporate & Listed Company Work
- Assist in drafting, reviewing, and negotiating corporate documents, including shareholder agreements, board resolutions, and disclosure materials.
- Support compliance matters for listed companies, including regulatory filings, corporate governance, and disclosure obligations.
- Conduct legal research on securities regulations, listing rules, and corporate law developments.
- General Legal Support
- Assist senior lawyers in transaction execution, due diligence, and contract negotiation.
- Prepare internal reports and legal updates for management and investment teams.
- Support dispute resolution and regulatory inquiries when required.
Requirements
Requirements
- 1–2 years of post-qualification experience in hedge funds/asset management, M&A, or corporate law (law firm or in-house).
- Familiarity with listed company compliance and hedge fund structures.
- Law degree (LLB or JD) from a recognized university; admission to practice in Hong Kong or another common law jurisdiction preferred.
- Strong drafting, analytical, and research skills.
- Excellent command of English; proficiency in Chinese (Mandarin/Cantonese) is an advantage.
- Detail-oriented, proactive, and able to work independently in a fast-paced environment.
