Job Summary

The candidate will be responsible for ensuring compliance with the Companies Act, corporate governance requirements, corporate secretarial practices, and regulatory obligations. The incumbent will support the Board of Directors and senior management in maintaining effective governance frameworks while ensuring statutory compliance across the organization, including but limited to other governance activities and day-to-day legal transactions for the Company and Affiliates if required.

Key Responsibilities

Secretarial & Corporate Governance

  • Ensure compliance with the Companies Act, 2013, applicable rules, and other corporate laws.
  • Organize and manage Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Draft and maintain agendas, notices, minutes, resolutions, and other Board-related documents.
  • Advise the Board and management on corporate governance matters and statutory requirements.
  • Maintain statutory registers, records, and filings as prescribed by law.
  • Manage incorporation, alteration, restructuring, merger, and closure-related corporate actions.

Regulatory Compliance

  • Ensure timely filing of statutory returns, forms, disclosures, and reports with the Registrar of Companies (ROC) and other regulatory authorities.
  • Monitor regulatory developments and advise management regarding compliance implications.
  • Develop and implement compliance frameworks, policies, and procedures.
  • Coordinate compliance audits and regulatory inspections.

Board & Stakeholder Management

  • Serve as a key liaison between the Board, management, regulators, shareholders, and external stakeholders and Headquarters of the Company.
  • Facilitate information flow to Directors for effective decision-making.
  • Manage shareholder communications and investor-related secretarial matters.
  • Support Board evaluation and governance initiatives.

Legal & Contract Support

  • Review and support execution of commercial agreements and corporate contracts.
  • Coordinate with external legal counsel on litigation, regulatory matters, and legal opinions.
  • Assist in legal due diligence, mergers and acquisitions, and corporate restructuring projects.

Risk Management & Internal Controls

  • Support enterprise compliance and governance risk assessments.
  • Identify compliance gaps and recommend corrective actions.
  • Ensure adherence to internal policies, delegations of authority, and governance frameworks.

ESG and Corporate Policies (Preferred)

  • Support implementation of ESG, sustainability, and ethical governance initiatives.
  • Review and update company policies to align with legal and regulatory requirements.

Qualification & Experience

Educational Qualification

  • Associate Member of the Institute of Company Secretaries of India (ICSI) or has cleared 2 out of 4 modules in the Professional Programme.
  • Bachelor’s degree in law or commerce, Finance, Business Administration, or related field.

Experience

  • Minimum 5 to 8 years of post-qualification experience in corporate secretarial, legal, governance, or compliance functions.
  • Experience in listed companies, multinational corporations, or large manufacturing/service organizations preferred.
  • Exposure to SEBI regulations, corporate restructuring, and governance compliance will be an advantage.
