Manages legal, contracts, compliance, corporate secretarial, governance, intellectual property, and regulatory functions across SFH and its subsidiaries. Coordinates with retained legal advisers, supports corporate governance, manages regulatory interactions, and mentors departmental staff.

The Manager- Legal/Contracts & Compliance will be responsible for contributing to over all
the legal and contracting function across SFH, Country platforms and its subsidiaries.
Reporting to the Group Director, S/He will ensure the vetting and drafting of Agreements
across SFH Nigeria and its Subsidiaries/Affiliates/Platforms in line with donor, legal,
regulatory, and other contractual requirements. He/she will ensure that procurement contracts
are properly drafted to ensure value for money and compliance with all requirements. S/He
will provide contract management services to SFH Management and the Board. S/He will
provide legal advice and opinion on any matter required by SFH. S/He will manage the
corporate and secretarial function of SFH which includes preparation for Board meetings,
taking of Minutes and statutory filings at the Corporate Affairs Commission. S/He will ensure
SFH Intellectual Property (IP) are filed and protected. S/He will lead in the registration of
new platforms/entities and IPs to be filed and provide any other business support. S/He will
lead/support contractual and regulatory compliance to ensure that SFH adheres to all its
contractual, regulatory and legal obligations, thereby minimising risks. Working with retained
Legal Adviser, S/He will develop strategy and provide support for any matter in Court to
ensure SFH is properly represented. S/he will also contribute to the effective mentorship of
new staff in the department as well as ensure SFH culture embedment.
- Ability to draft legal documents such as contracts, bids, leases, sub-awards, and various litigation documents in a concise and clear manner using appropriate legal terms.
- Ability to systematically and efficiently manage contract creation and execution for the purpose of maximising business, financial and operational performance.
- Ability to prepare board documents and memoranda, take minutes, file necessary documents at the Corporate Affairs Commission, advise on governance and related statutory compliance needs.
- Ability to conduct research using online and other resources, know where to find the Law and apply the same to everyday and critical issues
- Ability to manage some aspect of issues that arise from matters in Court
- Ability to work with other departments to assist with SFH compliance obligations: contractual and regulatory especially requirements that are relevant to SFH entities.
- Have in-depth knowledge about commercial and corporate law and operations, structure/restructure and be able to translate that knowledge to advise the Board and Management for effective synergy
Requirements
- A minimum of a LLB and B.L is required;
- A minimum of ten (10) years’ experience with progressively increasing responsibility
working with and advising different Clients including corporate entities, Government and
Regulatory Agencies and individuals
- Excellent legal drafting and communication ability that can be shown from working with
diverse Clients
- Demonstrated ability to manage company secretarial functions including taking Minutes
and undertaking filings at Corporate Affairs Commission;
- Demonstrated ability to manage compliance interactions with different Regulatory
Agencies
- Knowledge of advising and handling matters in different Courts for multiple Clients
Skills Required
- LLB and B.L. qualifications
- At least 10 years of progressively responsible legal experience advising corporate entities, government and regulatory agencies, and individuals
- Excellent legal drafting and communication skills
- Experience managing company secretarial functions, including taking minutes and filing with the Corporate Affairs Commission
- Experience managing compliance interactions with regulatory agencies
- Knowledge of advising and handling matters in different courts for multiple clients
- Knowledge of commercial and corporate law, organizational operations, and restructuring
