About the role.

The Legal and Compliance Associate assists the Head of Legal and Compliance in delivering high-quality governance, legal, and compliance services to the Company. The Associate is responsible for conducting in-depth legal research, analyzing case law, statutes, and legal precedents to provide informed legal opinions to internal stakeholders. Additionally, the role involves supporting the preparation of legal documents, including drafting and reviewing contracts. The Associate plays a key role in managing litigation and ensuring regulatory compliance. Responsibilities include interpreting laws and regulations, maintaining legal databases, and presenting findings to inform legal strategies and business decisions. Strong analytical, research, and communication skills are essential for success in this position.

Key Responsibilities

Legal Research & Analysis
  • Monitor and report on developments in laws, regulations, and legal precedents that may affect cases or company operations.

  • Provide preliminary interpretations of laws, rulings, and regulations to the legal team and other stakeholders.

  • Identify and evaluate legal issues arising from cases, contracts, or regulatory changes, offering clear and reasoned analysis.

  • Conduct comprehensive research on investment regulations, securities law, corporate governance, and other pertinent areas of law.


Document Review & Preparation
  • Assist in drafting legal memoranda, briefs, and contracts under the direction of the Team Lead.

  • Summarize legal findings, contracts, and other complex documents for internal stakeholders to facilitate clarity and understanding.

  • Conduct detailed review and examinations of contracts, agreements, pleadings, and other legal documents for accuracy, compliance, and potential risks.

  • Identify and summarize key clauses or provisions in documents that could impact the company, including terms of liability, obligations, and rights.

  • Maintain detailed records of revisions and amendments to documents throughout the drafting process to ensure transparency and accountability.


Regulatory Compliance:
  • Remain informed on updates to laws and regulations impacting the company’s

operations, including industry-specific requirements.

  • Oversee compliance with local laws governing the investment sector, including regulations set forth by the Securities and Exchange Commission (SEC) and Nigerian Exchange Regulations Ltd (NGX).

  • Assist in the preparation and submission of regulatory filings and reports to appropriate authorities.

  • Review internal policies, practices, and procedures to verify alignment with applicable legal and regulatory standards.


Company Secretarial and Administrative Support:
  • Maintain accurate statutory records and corporate information for all entities.

  • Assist the Company Secretary with Board/ governance -related activities.

  • Organize and manage legal files and databases systematically.

  • Support in scheduling meetings, preparing agendas, and recording minutes.


Litigation Support and Management
  • Collaborate closely with external legal counsel in overseeing the firm’s litigation matters.

  • Support the management of discovery processes, including reviewing evidence and coordinating legal documentation for litigation.


Document Organization & Contract Management
  • Maintain a structured filing system for legal documents, ensuring all files are accurately categorized (e.g., contracts, agreements, regulatory filings, correspondence).

  • Develop and utilize tracking tools, including spreadsheets and contract management software, to monitor the status of all legal documents.

  • Assist in digitizing contract management processes to enhance efficiency.

  • Ensure precise entry and maintenance of contracts within the system, providing continuous support to facilitate efficient contract retrieval and review.


Requirements

Requirements

  • LLB (Minimum of Second Class Upper); BL (Minimum of Second Class Upper)

  • Minimum of 3  years’ experience working in the financial services industry or at a law

firm

  • Familiarity with the Nigerian regulatory environment and investment laws

  • 2 years proven work experience in a related position.

  • Experience working in law firms and investment management or financial services firms preferred.

  • ICSAN and CGI membership is an added advantage.

  • SEC Sponsored Individual license is an added advantage.

  • Extensive legal and regulatory knowledge

  • Strong leadership, analytical, and communication skills 

  • Excellent communication & interpersonal skills
