Key Responsibilities
- Support corporate governance activities for Boards of Directors and committees, including scheduling meetings, preparing agendas, coordinating with presenters, preparing meeting materials, drafting resolutions, and drafting meeting minutes.
- Manage meeting day logistics and maintain organized records.
- Use the Diligent Board Portal platform to support preparation and distribution of meeting materials.
- Research legal and regulatory requirements and assist with Insurance Holding Company Act filings and approval processes.
- Communicate with state insurance regulators and internal stakeholders.
- Analyze and organize due diligence materials for corporate transactions.
Skills, Abilities, and Knowledge Required
- Strong attention to detail and the ability to skillfully manage multiple priorities.
- Excellent written and oral communication skills.
- Ability to work both independently and collaboratively with internal teams and external stakeholders.
- Highly organized with proven time‑management skills.

Minimum Requirements
- Minimum of three years of experience in corporate governance, paralegal work, or governance support for corporate or nonprofit boards.
- Associate's degree, as well as High School Diploma or equivalent.

- Bachelor’s degree in a relevant field.
- Paralegal certification.
- Experience drafting resolutions, minutes, or other formal governance documentation.
