About the role:

We are seeking a talented and motivated Junior Associate Counsel, Commercial Transactions, who is best-in-class, with a high IQ and a high EQ. This role presents an exciting opportunity to thrive in a dynamic, fast-paced environment within a rapidly growing team, with abundant prospects for career advancement.

This is an early-career role on Sezzle's Legal team, working alongside our Senior Counsel, Commercial Transactions on the vendor contracts we buy under and the merchant agreements we sell under. Nearly all of this work is governed by US law and negotiated in English with US counterparties. You will build real transactional skills fast: drafting, negotiating, and closing agreements with growing independence, using our playbooks and Claude-enabled contract workflows. We are looking for someone who is business-first and practical, who wants to learn how to find the path to “yes” rather than lead with “no.”

What You'll Do:
  • Vendor contracts. Review and negotiate NDAs, order forms, SOWs, and standard SaaS, services, data, and marketing agreements on Sezzle paper and counterparty paper, working from our playbooks and escalating non-standard terms.
  • Merchant agreements. Prepare first drafts of merchant agreements, amendments, and onboarding terms, and turn counterparty redlines with guidance from senior lawyers on the team.
  • Issue spotting. Identify the terms that carry real exposure (limitation of liability, indemnities, IP, data privacy and security, audit rights, termination, service levels) and summarize them in plain English for deal teams and senior counsel.
  • Business support. Answer day-to-day contract questions from Sales, Partnerships, Procurement, Finance, Product, and Engineering with fast, practical guidance that starts from what the business is trying to achieve.
  • AI workflows. Run contracts through our Claude-enabled review workflows, check the output critically, and help improve review playbooks and prompts as templates and positions change.
  • Intake and lifecycle. Manage matters through our intake queue and contract lifecycle platform, run pre-signature checks on parties, exhibits, and signature authority, and keep renewals, amendments, and key obligations tracked.
  • Templates and precedent. Help maintain contract templates, fallback positions, and a precedent library so the next deal moves faster.
  • Compliance coordination. Work with Compliance and Procurement to confirm vendor and partner agreements include the third-party risk management and bank-partner oversight terms we require.
What We Look For:
  • Law degree and admission to practice in LATAM (tarjeta profesional) or a US jurisdiction.
  • 1 to 2 years of commercial, corporate, or transactional experience at a law firm or in-house, including internships, prácticas, or judicatura.
  • Full professional fluency in written and spoken English, enough to read, draft, and discuss US-law governed contracts directly with US counterparties, plus native or fluent Spanish.
  • Some hands-on exposure to drafting or reviewing commercial contracts in English.
  • Regular, hands-on use of AI tools such as Claude in your academic or professional work, and real interest in building better legal workflows with them.
  • Strong attention to detail and the organization to handle a high volume of contracts with accurate, reliable turnaround.
  • A business-first mindset: you want to understand the deal, not just the clause, and you can explain risk and opportunity in plain language.
  • Availability to work with full overlap with US Central business hours.
  • A plus: coursework or an LL.M. in US law; interest or experience in fintech, payments, banking, or e-commerce; exposure to data privacy terms, SaaS procurement, or contract lifecycle tools.
  • Demonstrated experience working with Claude or equivalent large language model tools is required; candidates must be comfortable leveraging AI to enhance productivity, research, and communication.
About You:
  • You have relentlessly high standards - many people may think your standards are unreasonably high. You are continually raising the bar and driving those around you to deliver great results. You make sure that defects do not get sent down the line and that problems are fixed so they stay fixed.
  • You’re not bound by convention - your success—and much of the fun—lies in developing new ways to do things
  • You need action - speed matters in business. Many decisions and actions are reversible and do not need extensive study. We value calculated risk-taking.
  • You earn trust - you listen attentively, speak candidly, and treat others respectfully.
  • You have backbone; disagree, then commit - you can respectfully challenge decisions when you disagree, even when doing so is uncomfortable or exhausting. You have conviction and are tenacious. You do not compromise for the sake of social cohesion. Once a decision is determined, you commit wholly.
  • You deliver results - you focus on the key inputs and deliver them with the right quality and in a timely fashion. Despite setbacks, you rise to the occasion and never settle.
What Makes Working at Sezzle Awesome:

At Sezzle, we are more than just brilliant engineers, passionate data enthusiasts, out-of-the-box thinkers, and determined innovators. We believe in surrounding ourselves with only the best and the brightest individuals. Our culture is not defined by a certain set of perks designed to give the illusion of the traditional startup culture, but rather, it is the visible example living in every employee that we hire.
