The Assystem Safety & Risk business unit has over 20 years’ experience, delivering bespoke, high-quality safety, risk, and reliability consultancy services to high-hazard industries. We help our clients to minimise risk, delivering improved safety and security and fostering a nuclear safety and risk aware culture. Assystem Safety & Risk delivers an integrated and cost-effective service that includes Safety Case, Human & Organisational Factors (HOF), Risk & Reliability (Including Probabilistic Safety Assessment), Security & Resilience, and Process Safety.
We use deterministic and probabilistic techniques to help our clients to assess the risk associated with facilities and activities and confirm that risks are reduced to a level that is As Low as Reasonably Practicable (ALARP).
Job Description1.Corporate Matters:
-Preparing all the relevant corporate documentation within Assystem Radicon in KSA (annual shareholders meetings, annual account approvals, appointment of the board, POA, etc.);
-Providing support on real estate (lease agreements);
-Developing the organization's policies on corporate governance or regulatory affairs.
-Ensuring compliance with the approval procedures required by Assystem Group.
-Advising executives within Assystem Radicon;
-Oversee the issuance and maintenance of required licenses related to Ministry of Investment.
-Providing support for M&A transactions, LOI, SPA, shareholders agreements.
2.Bid Reviews:
-Analyzing, preparing, reviewing the legal documents for the bid offers, the requests for proposals with the project team.
-Negotiating and writing commercial contracts (among other EPCM contracts, consortium agreements, joint venture, MOU, bank guarantees, parent company guaranties, sub-contracts, legal scheme of the projects, suppliers’ contracts, license’s agreements, lease agreements, IT contracts, NDA, LOI, etc.).
-Advising executives on relevant legal issues of the business.
-Protecting patents, trademarks, and industrial designs.
-Handling export control issues.
3.Project Reviews:
-Support Project and Contract Managers on all legal, compliance, and insurance matters during project execution.
-Work closely with project teams to review contracts, scopes, and agreements for legal implications.
-Advise on project-related risks, mitigation actions, and contractual obligations.
-Ensure all stakeholders have updated contract versions and follow proper approval procedures.
-Coordinate with internal departments (quality, HSE, risk, finance, tax, etc.) to ensure proper contract execution.
-Identify and analyze discrepancies, deviations, change orders, and claims, and prepare related notifications to clients, partners, and subcontractors.
-Ensure proper issuance of contract amendments and manage claims or disputes in coordination with the General Counsel.
-Provide training to Project and Contract Managers on legal and contractual topics.
4.Claims and litigations:
-In coordination with the General Counsel Middle East& Turkey, handle all legal aspects at stake, for the relevant notifications received as well as before sending relevant notifications to partners, customers, subcontractors, suppliers, for the issue and modification of drafts of contracts (e.g amendments of the contracts), for the claims and litigations.
5.Insurance Matters:
-In coordination with the General Counsel Middle East& Turkey, handle all insurances contracts, policies, matters (linked to business) within Assystem Radicon;
-In coordination with the General Counsel Middle East& Turkey, evaluate insurance claims and coordinate with insurer’s brokers and claims.
6.Compliance Program (Anti-Bribery):
-Oversee and implement the Assystem’ Group anti-bribery and compliance programs in Assystem Radicon.
-Ensuring compliance with the approval procedures required by the Assystem Group.
-Provide guidance to executives and management on ethics, business conduct, and compliance matters and promote an ethical corporate environment through training and leading process/policy enhancements.
-Identify areas of legal compliance risk and collaborate with the General Counsel Middle East& Turkey, functional managers to identify effective controls and processes to mitigate those risks.
-Write regular communications to employees concerning the Assystem Group Code of Conduct for combating corruption and influence peddling and related policies and procedures, which have been adopted by the Assystem Group as well as new developments in law or regulation pertaining to compliance.
7.Delegation of Authority (DOA):
-Ensure compliance with Assystem Group DOA policies and procedures.
-Put in place Assystem Radicon DOA in compliance with Assystem Group DOA.
8.Bank Guarantees and PCG:
-In coordination with the Financial Department the General Counsel Middle East& Turkey, review bank guarantees.
-In coordination with the Financial Department and the General Counsel Middle East& Turkey, review the parent company guarantees to be requested to the parent company.
-Ensure compliance with contractual obligations.
Bachelor’s Degree in Law (LLB) — required
6 years of relevant legal experience, preferably in corporate and commercial law.
