About the team:
The Head of Company Secretariat, CS exists to lead high-quality company secretariat and governance support for ASX’s Clearing and Settlement Boards, ensuring effective Board and Committee operations, strong governance disciplines, compliance with relevant statutory, regulatory and licence obligations, and the provision of trusted governance advice to directors, executives and the broader Legal and Company Secretariat function.
The Clearing and Settlement Company Secretariat function supports effective governance for ASX’s Clearing and Settlement Boards and Committees by delivering high-quality Board services, maintaining governance processes, supporting compliance with statutory, regulatory and licence obligations, and enabling clear, timely and effective engagement between directors, management and regulators.
What you will be doing:
Leadership

Role specific
Lead the company secretariat function for ASX’s Clearing and Settlement Boards and relevant Committees, ensuring effective governance support, forward planning and high-quality Board operations.
Maintain robust Board and Committee governance processes, including agendas, papers, minutes, actions, corporate calendars and governance records.
Oversee attendance at Clearing and Settlement Board and Committee meetings, including the preparation and review of agendas, Board and Committee packs, minutes and action records.
Support compliance with relevant statutory, regulatory, licence and governance obligations applicable to ASX’s clearing and settlement entities.
Provide trusted company secretariat and governance advice to support effective Board decision-making, compliance with corporate governance procedures and alignment with ASX Group governance standards.
Partner with Board Chairs, directors, executives and senior stakeholders to improve the quality, timeliness and effectiveness of Board and Committee inputs.
Work closely with Legal, Risk, Compliance, Regulatory Assurance and Regulatory Affairs teams to support constructive engagement with regulators and alignment between governance processes and regulatory expectations.
Lead or support responses to regulatory, inquiry or assurance requests involving the Company Secretariat function, including planning, coordination, document collation, review and development of supporting artefacts.
Identify and implement improvements to company secretariat processes, operating rhythms and governance practices for the Clearing and Settlement Boards.
Share company secretariat knowledge, experience and governance capability across the Legal and Company Secretariat teams and with broader business stakeholders.
What you will bring:
Must have
Extensive company secretariat, governance or legal experience, including senior-level experience supporting Boards and Committees in a listed, licensed or highly regulated environment.
Experience working with, or advising, listed, licensed or highly regulated entities with strong governance and compliance expectations.
Strong knowledge of corporate governance procedures, Corporations Act requirements, regulatory expectations and Board governance disciplines.
Strong practical understanding of the Corporations Act, ASX Listing Rules, contemporary company secretarial practice and best-practice corporate governance expectations.
Ability to operate confidently with Board Chairs, directors, senior executives, regulators and cross-functional stakeholders.
Tertiary qualifications in law, governance, business or a related discipline, with membership of the Chartered Governance Institute or equivalent professional body desirable.
Demonstrated leadership capability, sound judgement, discretion and the ability to manage competing priorities in a complex matrix environment.
Nice to have
Experience supporting clearing, settlement, financial market infrastructure or other prudentially or systemically important entities.
Exposure to regulatory engagement with ASIC, RBA or other financial services regulators.
Experience improving Board reporting, governance calendars, action tracking and company secretariat operating rhythms.
