Job Summary 

Blue Sky Utility/ Nofar USA, a renewable energy development and operations company focused on large-scale solar and energy storage, is seeking a General Counsel to lead our in-house legal function and serve as the senior legal authority for the company. The General Counsel will oversee and mentor  our  Senior Counsel, collaborate with outside  counsel, as needed, and independently manage our highest-complexity M&A transactions, project and corporate financing transactions, PPAs, offtake agreements, and related regulatory matters.   

This is a Hybrid role with 3 days in office in our Fort Lauderdale office.



Requirements

Qualifications 

  • J.D. from an accredited law school, active Florida Bar license or  active bar admission in at least one U.S. jurisdiction with the ability to become licensed as authorized house counsel in Florida. 
  • 10+ years of experience in renewable energy law, with required prior in-house experience at an Independent Power Producer (IPP), developer, or utility. Law firm-only backgrounds will not meet the bar. 
  • Track record of leading and owning, not just supporting, complex M&A, project development, project finance, corporate finance, and offtake / transactions from term sheet through closing, with minimal reliance on outside counsel. 
  • Substantial experience with project finance, tax equity, and/or M&A in the renewables space. 
  • Deep command of state-level utility regulatory frameworks, to the point of being a go-to internal resource on regulatory questions. 
  • Demonstrated experience drafting, negotiating and advising on complex transaction and project agreements, including, but not limited to Membership Interests Purchase Agreements, Purchase and Sale Agreements, Joint Development and Joint Venture Agreements, Engineering, Procurement and Construction Agreements, Operation and Maintenance Agreements, Offtake Agreements, and Power Purchase Agreements is required. 
  • Experience leading project financing, tax equity, secured financing, and other structured financing matters. 
  • Experience with capital markets transactions, ongoing securities law compliance and reporting obligations is strongly preferred but not required. 

Responsibilities 

  • Independently draft, negotiate and advise on high-value contracts and transactions: PPAs, EPCs, interconnection agreements, project financings, and M&A, and joint ventures. 
  • Serve as a senior escalation point for legal questions from the rest of the legal team, including existing  Senior Counsel and paralegal staff. 
  • Directly absorb a significant portion of the  Senior Counsel's current workload. 
  • Build and own legal processes, templates, and playbooks that raise the operating level of the whole department. 
  • Manage outside counsel relationships and budgets for specialized/high-stakes matters. 
  • Advise cross-functional and executive teams on regulatory strategy, not just compliance.
