Job Summary:
Reporting to the Vice President, Board Secretariat within the Office of the CEO, the Director, Board Operations leads Board operations and governance services for HOOPP's Board of Trustees and its Committees. The role is responsible for the delivery and continuous improvement of the governance operating model supporting the Board and its Committees, overseeing Board and Committee planning and execution, governance and operational processes, and governance administration to enable effective oversight, informed decision-making, and strong governance practices. The Director also drives governance modernization through the adoption of governance technologies and AI-enabled solutions.
What you will do:
Governance Operations and Board Support
Lead the day-to-day operations of the Board Secretariat, ensuring the effective delivery of governance services and support to the Board of Trustees and its Committees.
Manage the planning and execution of Board and Committee meetings, including agendas, annual calendars, workplans, materials, logistics, and post-meeting follow-up.
Partner with senior leadership and their teams to coordinate the development, review, and delivery of Board materials that support effective decision-making and oversight.
Serve as recording secretary to the Board and its Committees, ensuring the accuracy, integrity, and completeness of meeting minutes, decisions, and official records.
Maintain Board records and governance documentation, ensuring compliance with governance standards, record retention requirements, and confidentiality obligations.
Governance Advisory and Relationship Management
Provide governance advice and guidance to the CEO, Board Chairs, executive leadership, and key stakeholders on Board processes, governance practices, and emerging developments.
Facilitate communication, coordination, and information flow among the Board, the Office of the CEO, and management, ensuring the timely and effective execution of Board and Committee activities.
Build strong working relationships across the organization to support governance priorities and ensure the timely execution of Board and Committee activities.
Governance Effectiveness and Continuous Improvement
Execute Board and Committee effectiveness initiatives, including evaluations, governance reviews, action tracking, and continuous improvement activities.
Support the development and maintenance of governance frameworks, policies, mandates, and operating guidelines to ensure alignment with governance requirements and leading practices.
Develop governance reporting, metrics, and analytics to support accountability, decision-making, and ongoing improvement.
Participate in corporate governance initiatives and provide governance support on enterprise projects and strategic initiatives, as required.
Technology, Projects, and Administration
Lead and deliver governance-related projects, including the implementation of new tools, technologies, and process improvements that enhance efficiency and the Board experience.
Champion the adoption and optimization of governance technologies, including Board portals, digital tools, and AI-enabled solutions.
Manage the Board Secretariat budget and cost center, including annual planning, forecasting, and expense oversight.
Oversee Board member administration, including compensation, expenses, onboarding, offboarding, education programs, and Board-related events, while partnering with internal stakeholders to ensure the Board has the infrastructure and support required to operate effectively.
What you bring
15+ years of relevant experience in Board governance, corporate governance, or related roles, including senior leadership experience, with strong knowledge of governance practices, Board operations, and governance requirements within complex organizations, ideally in the pension or financial services sector.
An undergraduate degree in Business Administration, Governance, Public Administration, Law, or a related field, as well as a Governance Professionals of Canada (GPC) designation or equivalent governance certification, are considered assets.
Experience supporting Boards, Board Committees, and senior executives through effective governance processes, Board operations, and the delivery of high-quality governance materials and services.
Experience leading governance transformation, modernization, and continuous improvement initiatives, including leveraging governance technologies, document management systems, and AI-enabled solutions to enhance governance effectiveness and operational efficiency.
Demonstrated ability to lead multiple priorities simultaneously, drive execution, manage complex governance processes, and deliver high-quality results in a fast-paced executive environment.
Strong strategic thinking, judgment, and problem-solving skills, with the ability to manage confidential matters, navigate complexity, and deliver practical, business-focused solutions.
Exceptional communication, stakeholder management, and organizational skills, with the ability to influence and collaborate across all levels of the organization, supported by advanced proficiency in Microsoft Office Suite and related tools.

The actual base salary offered to the successful candidate may vary based on multiple factors including, but not limited to, individual's expertise and level of experience applicable to the role they are being offered.
