Job Overview: This is a hands-on, experienced in-house corporate paralegal role supporting a collaborative legal department. The position requires comfort operating with a high degree of autonomy and accountability, handling both substantive legal work and the day-to-day operational tasks necessary to keep the legal function running efficiently.
Key Responsibilities
- Independently prepare, review, and manage written correspondence, contracts, and other legal documents, ensuring accuracy, consistency, and compliance with applicable laws and internal standards
- Conduct legal and regulatory research and prepare summaries and memoranda to support responses to internal legal and compliance requests and the development and maintenance of company policies.
- Manage and support matters related to corporate governance, compliance, corporate finance, corporate development, intellectual property, and other legal initiatives, exercising sound judgment and escalating issues as appropriate.
- Prepare, coordinate, and manage Section 16 filings for directors and officers, including tracking reporting obligations and deadlines.
- Organize and maintain data rooms for M&A, financing, and other strategic transactions, including document collection, version control, and responsiveness to diligence requests.
- Support litigation and dispute-related matters by coordinating document collection, maintaining matter files, and liaising with outside counsel and internal business teams.
- Prepare, organize, and maintain legal records and entity documentation, including organizational structure, board and committee actions, capitalization and securities records, litigation files, real property records, and other corporate records.
- Manage state entity registrations, annual reports, and business licenses, including monitoring deadlines, coordinating filings, and maintaining accurate entity information.
- Maintain, and improve legal databases, trackers, and spreadsheets to support legal operations, compliance, and reporting needs.
- Coordinate onboarding of vendors and service providers supporting legal projects.
- Serve as a liaison between the legal department and internal business teams, governmental agencies, and third-party service providers, facilitating efficient communication and issue resolution.
- Contribute to the continuous improvement of legal department processes, templates, and workflows.
This role requires professionalism, respect, strong communication, and the ability to work well with others in a team-oriented, inclusive environment.
Required Qualifications:
- Education
- Bachelor’s degree in business, finance, accounting, or similar
- 5+ years of experience as a corporate paralegal, preferably in an in-house legal department supporting a public company or complex corporate structure.
- Proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint, Teams), DocuSign, and Adobe Acrobat.
- Excellent analytical, written and verbal communication abilities.
- Strong attention to detail.
- Problem-solving skills.
- Initiative and the ability to work independently with minimal direct supervision.
- Excellent organizational and time management skills to meet competing deadlines.
- Notary Public, or ability to obtain within 60 days of hire.
- Ability to work on-site and complete physical tasks such as lifting up to 20 lbs, standing for extended periods, or operating equipment as needed
- Willingness to support after-hours response or weekend work, if required
