The Role:
We are seeking a proactive and detail-oriented Corporate Legal & Governance Associate to join our Corporate Governance team. The Corporate Legal & Governance Associate will be part of the Corporate Governance team within ICON’s legal function, providing corporate legal and governance support to business stakeholders.
The Corporate Governance team manages over 275 entities in more than 70 countries, including the compliance requirements of ICON plc, the Irish-incorporated parent company of the ICON Group, which is listed in the US on the Nasdaq stock exchange. The role will include supporting corporate compliance and governance matters for ICON’s LATAM subsidiaries, with a particular focus on Mexico.
Responsibilities include:
- Prepare and file annual reports and corporate compliance filings for entities within the ICON Group globally, with a particular focus on LATAM entities.
- Manage and prioritise workload to comply with filing deadlines.
- Monitor and report on corporate compliance requirements.
- Prepare and circulate board materials, resolutions, minutes and related corporate documentation.
- Support the drafting and review of resolutions, powers of attorney, certificates, contracts and other legal documents.
- Filing and storage of board materials and company records
- Maintain and update the Diligent Entities database and corporate records for the ICON Group.
- Manage team inbox and respond to queries from business units regarding company records and entity details.
- Prepare and update powers of attorney as requested by different service lines
- Arrange execution, notarisation, apostille and related formalities for minutes, powers of attorney and other corporate documents, liaising with government bodies, notaries and embassies as required.
- Liaise with auditors and other professional advisors
- Engage and liaise with external advisors and manage related invoicing processes.
- Support corporate restructuring projects
- Ad hoc project work
- Undertake other reasonably related duties and administrative tasks as may be assigned from time to time.
- Provide support on other corporate governance and legal matters as appropriate.
What you will need:
- Bachelor’s degree in Law (Licenciatura en Derecho)
- Professional licence (cédula profesional) preferred.
- Fluent Spanish and strong professional English, with the ability to draft and review legal and corporate documents in both languages.
- Knowledge of Mexican corporate formalities, notarial processes, powers of attorney and filings with local authorities would be an advantage.
- 2–5 years’ experience in corporate law, company secretarial / governance or in-house legal / law firm corporate practice
- Prior experience in a multinational organisation, particularly with responsibility for corporate compliance across a global or LATAM entity portfolio, will be considered an advantage.
- Excellent time management, strong organisational skills and exceptional attention to detail, with the ability to work to deadlines, manage multiple projects and deliver to a high standard under pressure.
- Good business and risk awareness, with the ability to think logically, strategically and commercially.
- Proven team player with demonstrated analytical and communication skills
- Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity
- Self-starter with the ability to work under their own initiative with a strong work ethic
- Trustworthy, discreet and tactful when handling confidential and sensitive information.
- Working knowledge of Microsoft Office applications, including Excel, Word and Outlook.
- Knowledge of Diligent Entities, Blueprint or similar entity management software would be an advantage.
