About the role

We're looking for a Corporate Legal Counsel who believes that strong governance is a strategic advantage. You're the kind of lawyer who ensures the corporate foundations of a business are not only well documented, but also robust, scalable and defensible.

You understand that in a high-growth company, governance, ownership structures, incentive programs and shareholder relationships are more than legal formalities; they build trust with investors, employees and the board, and enable sustainable growth.

Reporting to the Head of Legal, you'll work closely with Finance and Operations to lead the governance and corporate legal workstreams that support our continued expansion across Europe.

What you'll do
  • Own and continuously develop the company's delegation of authority framework, ensuring it remains fit for a growing company.

  • Design, implement and administer the company's equity and incentive programs.

  • Manage shareholder matters, corporate records and ownership structure documentation across the group.

  • Partner with leadership and Finance on legal aspects of investor relations and shareholder communications.

  • Prepare, coordinate and lead the legal execution of annual general meetings and other corporate governance processes.

  • Lead the legal workstreams for equity financing rounds, mergers and acquisitions, including corporate structuring, transaction execution and post-closing integration.

  • Advise the business on corporate governance, ownership and shareholder-related legal matters as they arise.

  • Drive continuous improvements to governance processes, ensuring compliance while enabling the business to move efficiently.

What you'll bring
  • At least five years' experience practising corporate law.

  • Experience from a leading law firm, ideally advising growth companies, private equity or venture-backed businesses.

  • Strong expertise in corporate governance, shareholder matters and corporate transactions.

  • Experience supporting equity financing rounds, incentive programs and M&A transactions is highly desirable.

  • Fluency in both Swedish and English.

  • A pragmatic, commercially minded approach with the ability to balance legal risk and business objectives.

  • A structured, hands-on way of working, with a strong sense of ownership and attention to detail.

  • Confidence working independently in a fast-paced, international environment, with excellent stakeholder management and communication skills.

Location

We believe the best ideas happen when we’re together. This is a full-time role based onsite in Stockholm where you will work primarily in order to collaborate, connect, and build our culture.
