Corporate Development Manager

Flexible / Hybrid-Remote    |  Full-Time | Motion & Control Enterprises (MCE)    |  Includes incentive bonus and equity participation

Are you an M&A professional who wants full-cycle deal exposure at a high-velocity acquirer -- not just one piece of the process?

Motion and Control Enterprises (MCE) is a PE-backed national industrial distributor that has built its platform through 27 acquisitions since 2018. Continuation of that acquisition program is a core part of MCE's growth strategy, and we are building the corporate development function to match. This is a new, hands-on role at the center of that program: owning the acquisition pipeline, quarterbacking due diligence on live deals, and producing the valuation work and executive and Board materials that drive go/no-go and pricing decisions.

You will work day-to-day alongside the VP, Corporate Development and have direct visibility to the CEO, CFO, and PE sponsor. This is a lean, high-trust environment where you will own real work -- not support it.

Compensation & Benefits

Competitive total compensation package including:

  • Incentive bonus tied to deal activity and company performance.
  • Equity participation.
  • Medical, dental, and vision coverage.
  • Company-paid life, AD&D, and short- and long-term disability insurance.
  • 401(k) with a generous company match.
  • Generous PTO and paid holidays.
  • Tuition reimbursement.
  • Paid parental leave.
  • Employee Assistance Program (EAP).
  • Voluntary benefit products.
What You'll Do

Pipeline & Sourcing

  • Own and maintain MCE's acquisition pipeline tracker, keeping it current and decision-ready.
  • Support market segmentation and outbound sourcing -- research, screening, and initial outreach -- to identify founder-led and family-owned acquisition candidates.
  • Help build and maintain relationships with industry intermediaries including investment banks and business brokers, and track referral activity.
  • Prepare initial screening write-ups on strategic fit, financial profile, and rough valuation range for prospective targets.

Due Diligence

  • Serve as day-to-day project manager for due diligence on active deals, coordinating internal stakeholders (CFO, legal, operations, HR/IT) and external advisors (QoE/accounting, legal counsel, insurance/R&W, tax).
  • Build and manage diligence workplans and timelines; track open items and escalate findings that affect valuation, deal terms, or integration planning.
  • Synthesize diligence findings into clear, decision-ready summaries for the CEO, CFO, VP Corporate Development, and Board.
  • Contribute to a repeatable diligence and integration playbook as MCE's deal cadence continues.

Valuation & Executive Materials

  • Build and maintain financial models and valuation analyses for acquisition targets.
  • Prepare investment memos, deal summaries, and recommendation materials for the executive team and Board of Directors.
  • Support LOI and purchase agreement negotiations with financial analysis and deal-term scenario modeling.
  • Track deal economics from signing through closing including purchase price adjustments, earnouts, and true-ups.

Integration & Reporting

  • Support post-acquisition integration planning -- financial systems, ERP consolidation, reporting, and org design -- with operations and finance leadership.
  • Maintain M&A reporting for sponsor and Board updates, including pipeline KPIs such as top-of-funnel targets, IOIs, LOIs, and deals closed.
QualificationsWhat We're Looking For

Must Have:

  • 2 to 5 years of experience in investment banking, private equity, transaction advisory, or corporate development.
  • Demonstrated experience executing M&A transactions end-to-end: sourcing, financial modeling and valuation, due diligence, and closing.
  • Strong financial modeling and valuation skills; fluent in Excel-based LBO, DCF, and comps work.
  • Excellent written and verbal communication; able to distill complex diligence findings into clear, decision-ready materials for executives and the Board.
  • High attention to detail and strong project management skills; able to run multiple diligence workstreams and external advisors simultaneously.
  • Self-starter who can operate with real autonomy in a lean corporate development function.
  • Collegial, low-ego team player who builds trust quickly with founders, sellers, internal stakeholders, and the PE sponsor.
  • Bachelor's degree in Finance, Accounting, Economics, or a related field required.
  • Willingness to travel as needed for sourcing calls, diligence site visits, and deal closings.

Nice to Have:

  • Experience in distribution, industrial, or business services end markets.
  • Familiarity with fluid power, flow control, or industrial automation.
  • Comfort in a lean, lower middle-market, PE-backed environment growing primarily by acquisition.
  • MBA or CFA a plus.
