We are seeking an experienced and business-minded Corporate Counsel to join our Legal Department. This role was created as a strategic investment in the Company's continued growth and is intended to strengthen and expand the Legal Department's internal capabilities in the areas of litigation and conflict resolution, labor and employment law, regulatory compliance, corporate governance, commercial contracting, and executive-level legal support.
The successful candidate will work closely with the General Counsel in partnership with the Executive Team and business leadership to support litigation and conflict management, employment law matters, commercial contracting, compliance initiatives, and strategic projects. This role is ideal for an attorney who enjoys being deeply involved in negotiations and all stages of litigation, a broad range of employment matters, legal and business drafting, and cross-functional business initiatives while helping advance the Company's strategic objectives.
Strategic Impact

• Helping the Company proactively manage legal and operational risk while supporting long-term growth objectives.

Key Responsibilities:

Litigation & Dispute Management

  • Assist the General Counsel in evaluating litigation risk and developing practical business-focused legal strategies.
  • Manage relationships with outside counsel and assist with litigation budgeting, reporting, and strategy.
  • Support and manage complex litigation matters, including employment, commercial, transportation, and other business-related disputes.
  • Coordinate discovery efforts, witness preparation, deposition strategy, and litigation-related document production.
  • Prepare corporate witnesses for depositions, testimony, and litigation-related interviews.

Labor & Employment Law

  • Partner closely with Human Resources and management to mitigate employment-related legal risks.
  • Advise on a broad range of employment matters, including accommodations, leave issues, employee relations, investigations, disciplinary actions, terminations, and severance agreements.
  • Manage EEOC charges, employment claims, and employment litigation matters.
  • Provide guidance regarding restrictive covenant matters, including noncompetition, non-solicitation, and confidentiality agreements.
  • Assist with handbook revisions, policy development, training initiatives, and workplace compliance matters.

Corporate, Compliance & Legal Department Support

  • Provide broad support across the Legal Department, including legal drafting, contract review and negotiation, policy development, governance documentation, and strategic legal projects.
  • Draft, review, negotiate, and maintain a wide range of commercial agreements, including transportation, vendor, employment, benefits, and commercial real estate lease agreements.
  • Support contract negotiations, RFP responses, operational legal matters, and continuous improvement of contract templates and legal processes.
  • Partner with the General Counsel, Executive Team, and business leaders on strategic initiatives, compliance matters, operational improvements, and organizational growth objectives.
  • Support corporate governance, internal investigations, risk management initiatives, policy development, and legal process improvements.
  • Assist with mergers and acquisitions activities, including employment-related and workforce integration matters.
  • Train and support law clerks, contribute to internal legal resources and knowledge repositories, and help promote consistency, efficiency, and scalability across Legal Department operations.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.

  • Active license to practice law and in good standing in at least one U.S. jurisdiction (with ability to become licensed in Ohio).

  • Exceptional legal research, writing, and analytical skills.

  • Excellent time management skills and attention to detail.

  • Demonstrated ability to manage multiple complex matters simultaneously.

  • Excellent verbal and written communication skills.

  • Strong business judgment and practical problem-solving abilities.

  • Proficient in Microsoft Office Suite.

  • Demonstrated labor and employment law experience

  • Minimum of 5 years of litigation experience, with:

    • Substantial research and drafting experience.

    • Significant experience managing discovery and depositions.

    • Strong litigation strategy and case preparation experience.

Preferred:
  • Corporate defense representation.

  • Management-side representation.

  • Experience serving as primary counsel and/or first chair trial experience.
