Join Our Team as a Corporate Counsel
As an important member within the legal function at Smithers, you will report directly to the General Counsel providing legal support and guidance for a global business.
Successful candidates will be highly motivated self-starters with the ability to manage multiple tasks, be flexible in responding to changing priorities, exercise sound judgment, and work well as part of a team.
The ideal candidate possesses a "get to yes" mindset while mitigating risk, and can translate complex legal jargon into actionable business advice.
Essential Responsibilities
- Commercial Transactions: Lead the reviewing, drafting and negotiation of a wide range of global agreements with clients and vendors
- Legal Operations: Serve as primary administrator for contract lifecycle management platform to streamline the contracting process and mitigate risk
- Corporate Governance: Manage international and domestic corporate governance matters
- Acquisitions: Assist with various elements of acquisition work stream including due diligence
- Legal Research and Analysis: Conduct legal research and analysis on emerging laws and regulations or questions of law and provide summations of the same
- Privacy and Data Security: Participate as a standing member of global regional data protection teams

Education and Experience
- Juris Doctor degree and active license to practice law in Ohio required
- Experience in a law firm and/or in-house role with a focus on reviewing and negotiating various commercial agreements
- Experience with corporate governance matters
- Excellent drafting skills
- Strong interpersonal and communications skills (verbal and written) are required
- Extensive skills and experience working with Microsoft Office Suite (Word, PowerPoint, Excel, Outlook) required
- Experience working with a contract lifecycle management platform a plus
- Some limited travel may be required
