Job Summary
Standard Solar is seeking an experienced attorney with at least four years of transactional, real estate and corporate finance experience to join its in-house legal team.
This individual will work with the Chief Development Officer and General Counsel to facilitate project development, underwriting, and project finance closing. This unique position will be an integral part of the team for supporting SSI’s growth of in-house project development as well as project acquisition.
Essential Duties and Responsibilities:

Draft, analyze, redline, and negotiate various commercial contracts, including non-disclosure agreements, vendor agreements, power purchase agreements, leases, EPC agreements and other agreements and associated exhibits as required.

Draft alternate language and modify template contracts.

Proactive management of transactions in order to minimize delay in execution of documents and closing.

Compile project data for debt and equity investor underwriting.

Monitor status of project funding and post funding conditions.

Manage due diligence portfolios for project finance underwriting.

Proactive management of transactions in order to minimize delay in execution of documents and closing.

Assist in the creation and implementation of company-wide risk management initiatives, as well as the performance of various related administrative tasks.

Ad-hoc projects as directed by the Company’s CFO, COO and President.
Knowledge, Skills, and Abilities
-
Three or more years of experience in a wide range of commercial transactions with proven skills in negotiating, documenting and driving transactions to closure. Specific expertise with renewable energy transactions and/or solar energy project development, is highly desirable.

Excellent organizational, written and verbal skills, with the ability to quickly analyze issues, craft practical, business-oriented solutions and present complex information in a clear and concise fashion.

Must be a self-starter with the ability to manage multiple projects simultaneously and to consistently meet deadlines with high-quality work product in a fast-paced environment.

Demonstrated commitment to excellence in client service in a high-growth business environment.

Juris Doctor degree from an ABA-accredited law school, and strong academic credentials.

Collegial approach, but able to work independently.

Must be a member in good standing of the Maryland bar.

Must successfully pass background check and pre-employment drug testing.

Must be authorized to work in the United States on a full-time basis for any employer.

Prior in-house experience preferred.
Work Environment
This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines. Interfaces with customers, vendors and the public. All employees, including Senior and Executive Management, Sales & Finance.
Physical Demands
Conducts work in in a professional office setting or off-site at company marketing events and trade shows.
Physical working conditions may involve the following:

Skills Required
- Juris Doctor degree from an ABA-accredited law school
- Member in good standing of the Maryland bar
- Authorized to work in the United States full-time for any employer (no sponsorship)
- Successfully pass background check and pre-employment drug testing
- At least four years of transactional, real estate, and corporate finance experience
- Experience drafting, analyzing, redlining, and negotiating commercial contracts (NDAs, vendor agreements, PPAs, leases, EPC agreements)
- Proactive transaction management and ability to drive transactions to closing
- Manage due diligence portfolios and compile project data for debt and equity underwriting
- Excellent organizational, written and verbal communication skills
- Ability to manage multiple projects simultaneously and meet deadlines in a fast-paced environment
