The Corporate Contracts Counsel is responsible for managing a segment of the Company's contract and corporate transaction matters. Under the direction of the SVP Legal this attorney handles legal review and negotiation of the Company's contracts portfolio, while promoting business partners' understanding of legal issues related to corporate risk and contracts.
JOB FUNCTIONS:
- Drafts and manages contracts, leases and other transaction documents by writing, reviewing and negotiating agreements, supporting corporate business initiatives and maintaining professional rapport with opposing counsel and parties.
- Drafts, reviews, and negotiates a high volume of commercial contracts: sales agreements, vendor/supplier contracts, NDAs, service agreements, leases, partnership agreements, etc.
Advises business teams (sales, procurement, operations, product) on contract terms, risks, and business-friendly solutions. - Manages the contract lifecycle -- from intake to execution, through utilization of the Company's contract management tools.
- Identifies and mitigates legal risks in contracts and transactions.
- Creates and maintains playbooks/templates for common contracts to streamline processes.
- Collaborates with other in-house teams ( sales, operations, privacy, employment, compliance).
- Provides legal advice to business teams by conducting legal research; keeping stakeholders updated on developments in their legal area of concern; providing explanations of legal concepts and actions.
- Updates legal knowledge by participating in educational opportunities; reading professional publications; maintaining personal networks; participating in professional organizations.
- Contributes to organization's success by welcoming related, different, and new requests and other duties as assigned by SVP, and helping others accomplish job results.
- Performs other duties as assigned.
- Complies with all policies and standards.
Education & Experience:
- JD from an accredited US Law School Required
- Active member in good standing of the bar of Florida or reciprocal jurisdiction Required
- 5 years professional legal experience as an attorney in the healthcare industry Required
- 5 years experience with insurance and contract management Required
- Previous experience in healthcare and knowledge of DME industry Preferred
- 7+ years Contract Management Leadership Preferred
Skills Required
- JD from an accredited US Law School
