About the Role
The Contracts Specialist Associate will be responsible for drafting, reviewing, and managing standardized contracts for US-based clients in a BPO/KPO/ITO environment. This role combines legal and operational responsibilities, ensuring compliance with US legal requirements, company policies, and service-delivery standards. The ideal candidate will collaborate closely with internal teams (Legal, Finance, Operations, Sales) to ensure accurate and timely contract execution, while maintaining a high level of data integrity and organizational efficiency.
 
Key Responsibilities
Drafting & Reviewing Contracts
  • Prepare, review, and finalize simple Master Service Agreements (MSAs), Statements of Work (SOWs), Business Associate Agreements (BAAs), and Non-Disclosure Agreements (NDAs) using established templates and guidelines.
  • Ensure clarity, consistency, and compliance of contract terms with organizational policies and US contract law best practices.
Operational Coordination
  • Coordinate with internal stakeholders (Legal, Finance, Operations, Sales) to validate pricing, scope, and deliverables.
  • Track key contractual milestones — renewals, amendments, and terminations — and ensure timely action.
Risk Identification & Escalation
  • Identify potential commercial or legal risks within standard contracts and escalate complex issues to senior team members or legal counsel.
  • Proactively suggest amendments or additional clauses to mitigate identified risks.
Contract Lifecycle Management
  • Maintain an organized contract repository (physical and/or digital) for easy retrieval, reference, and audit.
  • Update contract status in internal databases and generate periodic reports on contract performance and key metrics.
Compliance & Documentation
  • Ensure all contracts comply with US legal and regulatory requirements relevant to the specific services offered.
  • Adhere to internal quality-control processes and maintain thorough documentation for audit readiness.
Stakeholder Communication
  • Serve as a point of contact for contract-related queries from internal departments and external (US-based) clients.
  • Facilitate smooth communication and collaboration across teams to address contract clarifications or modifications.
Continuous Improvement
  • Contribute to refining contract templates, processes, and procedures to improve turnaround time and consistency.
  • Stay updated with basic US commercial/contract law trends and best practices to enhance contract management.
What You Bring
Must-Have
  • 3–5 years of hands-on experience drafting/reviewing standard contracts in a BPO, ITO, KPO, or similar services industry.
  • Bachelor’s degree in Law (LL.B.), Business Administration, Commerce, or a related field.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Excellent written and verbal communication for interacting with US-based clients and internal teams.
  • Strong organizational ability to manage multiple contracts and deadlines simultaneously.
  • Attention to detail for accuracy and compliance in contract drafting and record-keeping.
  • Analytical, problem-solving mindset to identify and address potential risks or discrepancies.
Strong Preference
  • Familiarity with US market contract requirements (basic knowledge of US contract law).
Nice-to-Have
  • Paralegal certification or other relevant contract management qualification.
  • Experience using Contract Lifecycle Management (CLM) tools or document management systems.
