The Senior Legal Counsel will play a crucial role in managing and overseeing a broad range of legal and business matters. The ideal candidate will provide expert legal counsel across the business, including: driving and implementing IP strategy to support a growing company innovating a novel therapeutic modality; managing all aspects of R&D contracting, supporting strategic deals and collaborations, advising on regulatory and commercial aspects, and establishing legal operations and processes. This is an extremely interactive role in a unique environment that requires excellent communication skills and the ability to identify and leverage innovations, partner with and manage external legal resources, provide pragmatic and business-savvy advice, build transactional value, manage multiple priorities, and accurately and succinctly identify and communicate decisions and rationales to both scientific and executive teams.
Key Responsibilities:
- Provide timely, relevant, and practical advice to protect the company’s interests while ensuring an appropriate balance of legal, ethical, and business considerations.
- Provide oversight of the company’s IP strategy: manage IP counsel to continue to build a strong patent portfolio and IP strategy; provide counseling to management on IP related legal matters.
- Draft, review and negotiate various types of agreements including clinical, commercial, corporate, supplier, and other critical business agreements, in partnership with external counsel as needed.
- Serve as a key legal advisor for corporate and business development teams in areas of partnering, due diligence, IP licensing, and commercial topics.
- Build and maintain technical infrastructure to support efficient legal operations, including managing the company’s contract review and approval systems to ensure timely and efficient workflows for all contracting activities.
- Collaborate with internal and external teams to track progress and address any issues related to contract activities to ensure all contractual obligations are tracked, deadlines are met, and relevant stakeholders are informed of their obligations in a timely manner.
- Work with corporate teams and outside counsel to support employment and immigration law matters.
Qualifications:
- Juris Doctor (JD) degree and admission to practice law in Massachusetts
- At least 12 years of legal experience required, including at least 5 years of experience as in-house counsel in biotech or pharma
- Extensive experience with intellectual property, transactional matters, and regulatory requirements, as related to the research, development, and approval of biotech products
- Proven track record of strategic mindset, adaptability, and effectively partnering with business leadership to create value
- Some litigation experience preferred
- Strong communication and leadership skills.
- Strong organizational skills, attention to detail, and the ability to work independently and collaboratively.
