Westwood Professional Services, Inc. is seeking a Contract Review Attorney to join our Legal Team. This hands-on, early-career role supports the day-to-day business by reviewing, drafting, and negotiating a high volume of commercial contracts, including client agreements, subconsultant agreements, and related project documents. Working closely with senior members of the Legal Team, project managers, and business leaders, you will help identify and manage contractual risk while keeping projects moving. This is an excellent opportunity for an attorney looking to build deep commercial contracting experience in-house at a rapidly growing professional services firm serving the energy, infrastructure, and community development markets.

This position is onsite in our Plano, TX HQ,

Duties and Responsibilities:

  • Review, draft, and redline a high volume of commercial contracts, including client agreements, subconsultant agreements, master services agreements, NDAs, change orders, and amendments. 
  • Identify and assess key risk terms such as indemnification, limitation of liability, insurance, standard of care, warranties, and payment terms, and escalate issues to senior
  • Legal Team members as appropriate. 
  • Apply standard contract templates, playbooks, and fallback positions to negotiate terms with clients and subconsultants. Partner with project managers and business leaders to understand project scope and provide clear, practical guidance on contract terms. 
  • Review certificates of insurance and other contract-related documents for compliance with contractual requirements. 
  • Maintain accurate records and status tracking within the contract lifecycle management system. 
  • Assist with the review of government contracting requirements, including FAR/DFARS flow-down provisions, where applicable. 
  • Support the Legal Team on claims, disputes, and subpoena responses, including document gathering and coordination with outside counsel. 
  • Contribute to the development and improvement of contract templates, playbooks, and Legal Team processes. 
  • Provide general legal support across Legal Team activities as needed.

Requirements

 Required Skills:

  • Strong understanding of commercial contract principles and common risk allocation provisions. Excellent attention to detail and strong legal writing, drafting, and redlining skills. 
  • Ability to translate legal concepts into clear, practical guidance for non-legal stakeholders. 
  • Strong organizational skills and the ability to manage a high volume of agreements and competing priorities in a fast-paced environment. 
  • Sound judgment and the ability to recognize when to escalate issues. Collaborative, service-oriented approach with a strong desire to learn and grow. 
  • Proficiency with Microsoft Word, including track changes, and Microsoft Office Suite.

Required Experience:

  • Juris Doctor (J.D.) from an accredited law school and active membership in good standing with the State Bar of Texas. 
  • 2–4 years of legal experience, with exposure to commercial contract drafting, review, or negotiation.

Preferred Skills and Qualifications:

  • In-house, law firm, or clerkship experience involving commercial transactions. 
  • Exposure to professional services, engineering, construction, or energy industry contracts. 
  • Familiarity with contract lifecycle management (CLM) systems. 
  • Familiarity with government contracting requirements such as FAR/DFARS. Experience supporting project-based businesses in multi-party contracting environments.
