Job Summary:

Responsible for managing contracts and contract negotiations on behalf of the senior management team for their functional areas and in accordance with applicable law and Teledyne Corporate policy.

The Contract Manager will participate in the review, preparation, negotiation and management of a variety of contract documents with an emphasis on third party sales channel and consulting agreements tracked and managed in the Conga Contracts system.

Detailed Description:

Review, negotiate and conclude a range of agreements including customer and supplier agreements, non-disclosure agreements, loan agreements and third-party sales channel agreements.

Manage and complete third-party sales channel partner, consultant and other Conga agreements on behalf of the Teledyne FLIR Solutions Business Unit.  Responsibilities will include: (i) request-phase collaboration with Sales and other key stakeholders; (ii) completion of due diligence requirements; (iii) drafting and negotiation of agreements; (iv) identification and communication of contract risks for business unit and corporate level approvals; (v) agreement execution; and (vii) “cradle to grave” document management including the processing of agreement renewals, amendments and terminations.

Identify and mitigate risks connected with non-standard terms and conditions and changes proposed to contractual documents by the other party.

Provide commercial and contractual input on the preparation and submission of quotations and proposal documents covering all commercial aspects (principally on terms and conditions) in order to minimize risk to the company in accordance with Teledyne Corporate policy.

Support sales, bid and project teams by participating in, and at times leading, commercial and contractual negotiations with customers.

Develop and maintain positive customer relationships, both internally and externally, and collaborate with internal stakeholders to raise commercial awareness and ensure full visibility of, and adherence to, Teledyne policy requirements.

Maintain contract files and records, manage archive records, and maintain contract data in Conga and other databases and shared document repositories.

Ensure high quality customer service to both internal and external customers is maintained at all times.

Requirements:

Bachelor’s degree in Paralegal Studies, Business or equivalent experience in a contract management or legal support function.

Ability to work with contract management systems (e.g. Conga, Agileloft, SAP Ariba) and apply corporate requirements, policies and workflows to the contract management process.

An ability to work with standard and non-standard forms of contract and commercial clauses.

Exceptional attention to detail and writing skills required.

Ability to manage workloads and properly prioritize tasks in accordance with business requirements.

Strong collaborative, communication, and interpersonal skills are required.

Working knowledge of “Battle of the Forms” transactions are a plus but not required.
