The Opportunity

An opportunity is available for an experienced Corporate & Commercial Lawyer to join an established transactional practice in Sydney or Melbourne.

Working across a diverse mix of corporate, investment and commercial matters, you will advise businesses, investors and key decision-makers on transactions and strategic commercial issues.

This is a hands-on role offering exposure to complex transactions alongside broader commercial advisory work. You will have the opportunity to manage significant components of matters, participate directly in negotiations and work closely with clients throughout a transaction.

The position offers considerable scope for a lawyer looking to strengthen both their transactional expertise and broader commercial advisory capability.

The Role

You will work across a varied corporate and commercial practice, with matters potentially including:

  • Private and public mergers and acquisitions.
  • Business and asset acquisitions and disposals.
  • Private capital and strategic investment transactions.
  • Corporate restructures and ownership arrangements.
  • Joint ventures and other collaborative business structures.
  • Shareholder and investment agreements.
  • Corporate governance and board-related advisory work.
  • Drafting and negotiating a broad range of commercial agreements.
  • Conducting and coordinating transactional due diligence.
  • Advising on transaction structures and implementation.
  • Preparing and negotiating transaction documentation.
  • Managing matters through signing, completion and post-completion requirements.

You will work alongside experienced senior lawyers while having meaningful responsibility for your own matters and workstreams.

The role also provides regular client interaction, including the opportunity to work directly with business owners, executives, boards, investors and other professional advisers.

About You

You will ideally have approximately 4–8 years of post-admission experience, with a solid foundation in corporate transactional and commercial work gained within private practice.

You will be comfortable working across different stages of a transaction and able to combine strong technical skills with a practical understanding of your client's commercial objectives.

You will ideally bring:

  • Experience across M&A and other corporate transactions.
  • Exposure to general commercial advisory and contracting matters.
  • Strong drafting and negotiation capability.
  • The ability to identify and communicate key legal and commercial risks.
  • Confidence managing transaction workstreams with appropriate senior support.
  • Strong organisational skills and attention to detail.
  • A commercial and solutions-focused approach to legal advice.
  • The ability to communicate effectively with clients and other advisers.
  • An interest in developing lasting client relationships and taking increasing ownership of matters.

The Offering

This opportunity provides a strong mix of transactional work, commercial advisory matters and direct client exposure, with the ability to develop across a broad corporate practice rather than being confined to a narrow stream of work.

You will work with experienced practitioners on sophisticated matters while being encouraged to take responsibility, contribute to strategy and develop your own client relationships.

For a lawyer looking to progress further within corporate and commercial practice, the role offers exposure to complex transactions and the opportunity to continue developing both technical and commercial capability.
