Job Description

The purpose of this position is to address legal matters within specific departments, focusing on technology contracts across business verticals, while maintaining close communication with colleagues to ensure an integrated, consistent approach to legal services, enterprise wide. Associate General Counsel of Technology is responsible for advising the business groups on legal and strategic matters surrounding security and risks associated with technology contracting. 

  1. Draft, review and negotiate IT contracts, including but not limited to license agreements, escrow agreements, SaaS contracts, hardware and software purchasing agreements, development agreements, IP assignments, and other commercial documents and contracts as requested by the business related, directly or indirectly to technology
  2. Research regulatory issues around technology, artificial intelligence, data breach, data breach response, emerging technologies, licenses, intellectual property etc. or other research issues as they arise
  3. Advise stakeholders on appropriate course of action regarding contracts, regulatory requirements, and other superseding conditions
  4. Resolve disputes with vendors, suppliers, contractors, subcontractors, and other business partners
  5. Complete due diligence on acquisitions, joint ventures, and mergers
  6. Supervise paralegals in preparing, correspondence, revisions to documents and policy, and other duties as assigned
  7. Instruct paralegals and legal assistants in performing project-related tasks
  8. Model behaviors that support the company’s common purpose; ensure guests and team members are supported at the highest level
  9. Ensure all activities are in compliance with rules, regulations, policies, and procedures
  10. Identify areas of potential legal risk and develop strategies to address them
  11. Provide training and guidance to internal stakeholders and clients on legal matters
  12. Develop and implement policies and procedures related to legal matters
  13. Complete other duties as assigned

Qualifications

  • A Juris Doctor (JD) degree from an accredited college or university, required
  • License to practice law in the state of Tennessee or registration with the Tennessee Board of Law Examiners if not licensed in the state of Tennessee
  • Minimum three years’ prior experience working in a law firm or other corporate legal setting is required
  • Minimum two years' of legal technology experience required
  • Knowledge of general business and contract law with emphasis on past experience in technology
  • Intermediate Microsoft Office skills
  • Intellectual property knowledge considered a plus
  • Time management and ability to prioritize in a fast-paced environment while working autonomously
  • Critical thinking and ability to proactively identify potential problems and mitigate existing issues
  • Legal research capabilities with attention to detail
  • Ability to demonstrate confidence, professionalism and assertiveness in complex and challenging circumstances
  • Ability to think strategically
  • Ability to lead, organize, prioritize, and manage projects effectively
  • Ability to communicate legal requirements into technical specifications
  • Excellent writing, negotiation, interpersonal and speaking skills
