We're looking for a senior corporate lawyer to help Lemonade navigate the legal complexities of being a public, high-growth company at the intersection of insurance and AI. Reporting into our CLO, this role sits at the center of Lemonade's Legal team, partnering directly with executive leadership and the Board on everything from capital markets and M&A to corporate governance and commercial strategy.

Lead legal support for capital markets activities, including equity offerings, debt issuances, and capital management initiatives
Advise management and the Board on SEC, NYSE, and other securities law requirements, including periodic reporting, insider trading compliance, Regulation FD, and Rule 10b5-1 plans
Manage disclosure controls and procedures, proxy statements, Form 4 filings, and investor communications
Drive legal execution of acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, transaction structuring, and negotiation
Oversee significant commercial agreements, vendor contracts, and strategic partnerships, while building scalable contracting processes and templates
Advise executive leadership and the Board on corporate governance matters, fiduciary duties, and delegations of authority
Support Board and committee meetings as Assistant Corporate Secretary, and monitor regulatory and legislative developments across our operating jurisdictions
10+ years of relevant legal experience at a nationally recognized law firm and/or public company legal department
J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction in good standing
Deep expertise in securities law, public company reporting, SOX compliance, and corporate governance
Proven M&A and strategic transaction experience, including cross-functional project management and coordination of outside counsel
Strong contract negotiation and drafting skills, with experience advising senior executives, boards, and audit committees
Genuine enthusiasm for AI-powered legal tools, and a track record of building or improving legal workflows with technology
Ready to work in our NYC office 3 days per week

Lemonade's US base salary range for this full-time position is $225,000 - $250,000 plus equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
