ABOUT THE ROLE
We’re looking for a highly skilled Associate General Counsel – Corporate & Securities to take the lead on all corporate governance, securities law, capital markets matters, M&A and other strategic transactions for our dual-listed public company (Nasdaq + TSX).
You’ll be the go-to legal advisor for our executive team, ensuring world-class corporate governance, managing SEC and exchange compliance, and leading legal support for complex financing and strategic transactions. This is a senior-level role with significant visibility, reporting directly to our Chief Legal Officer.
Some of the key responsibilities you should expect are the following:
- Own all corporate & securities legal work for a high-growth, publicly traded company.
- Lead SEC and TSX compliance, including preparation of 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
- Assist the Chief Legal Officer in advising the Board of Directors and executive team on governance best practices and disclosure obligations.
- Drive legal support for public offerings, private placements, debt financings, M&A, and other strategic transactions.
- Manage legal support for key corporate functions, including tax and treasury.
- Collaborate with cross-functional teams to support investor relations, finance, and operational goals.
ABOUT YOU
- JD from an accredited U.S. law school and admission to the Florida Bar (or eligibility for Authorized House Counsel).
- 6+ years of corporate and securities law experience, including at least 4 years at a major law firm. Prior in-house public company experience is a strong plus.
- Expert knowledge of U.S. securities laws, SEC reporting, and stock exchange compliance.
- Strong track record advising boards, executives, and cross-border teams.
- Exceptional drafting, negotiation, and communication skills.
- Self-motivated and adaptable, with the ability to work independently, take ownership of projects, and thrive in a dynamic, fast-paced environment.
