Position Description
This role will involve all aspects of legal and transaction support and transaction for Private Equity (PE) Fund investments, provision of legal advice as well as general corporate legal and execution support for Capital Partners business.
This position is full time based in Hong Kong and benefits from consistent in-person engagement to support effective teamwork and smooth operations.
Key Areas of Responsibilities
Provide legal support to transactions in Hong Kong, Mainland and other jurisdictions in the Asia Pacific, including reviewing, negotiating, and drafting transaction documents.
Attend to signing and closing of transactions, often with the assistance of external counsel and group legal.
Handle other transaction-related work such as NDAs, engagement letters, corporate resolutions, and conducting KYC and AML checks with other group functions.
Handle alternative investment fund formation work, including drafting, reviewing and negotiation documentation.
Coordinate and host various meetings, including Investment Committee meetings.
Prepare applications and reports (internal and external) on various legal and regulatory matters.
Provide general in-house legal advice to business units and maintain relationships with external law firms.
Requirements
Minimum 5 years of PQE, experienced in negotiating deal documentation and other commercial agreements.
Qualified lawyer in Hong Kong, Mainland or other jurisdiction. In-house experience is beneficial but not necessary.
Fluency in both English and Chinese (Mandarin), in particular, Chinese writing skills. Working permit will be offered to non-local applicant.
Familiarity with onshore and offshore deals, including transactional and regulatory aspects of private equity deals.
Corporate transaction experience, particularly in M&A and PE investment in Mainland China.
