Under the direction of the General Counsel, provides legal advice to Bank departments and managers in order to support the business and operations of the Bank, minimize legal risk and ensure compliance with applicable laws and regulations.  Provides support/assistance to General Counsel as directed.

PRIMARY RESPONSIBILITIES:                                                                             

  • Reviews and interprets statutes and regulations and provides legal guidance to Bank staff.
  • Reviews and analyzes proposed regulations and communicates analysis to relevant Bank departments.
  • Coordinates with Bank departments to update Bank documents, policies and procedures to comply with new and revised laws and regulations. 
  • Provides legal advice and counsel to Bank departments in connection with the Bank’s business activities, staff functions, and external reporting requirements. 
  • Represents the Bank in meetings with member institutions, counterparties, vendors and other third parties.
  • Reviews and drafts Bank policies and procedures to identify areas of potential legal or regulatory risk. Researches and drafts legal opinions and memoranda with respect to relevant legal issues including proposed new activities of the Bank.
  • Reviews and drafts Bank transactional agreements as assigned.
  • Participates on Federal Home Loan Bank System working groups, Bank management committees and internal project teams.
  • Assumes additional responsibilities as assigned by the General Counsel.

JOB REQUIREMENTS:

  • Law degree from an accredited law school; member in good standing of a state bar, Texas license preferred.
  • 5+ years of legal experience. In-house experience with a corporation in the financial services industry or financial regulatory agency will be a plus.
  • Knowledge of the law related to banking and financial services, in addition to one or more of the following areas: corporate governance, privacy, financial derivatives, real estate and residential mortgage lending/servicing.
  • Interest in and experience with artificial intelligence will be a plus.
  • Excellent written and oral communication skills including the ability to communicate complex legal issues clearly and effectively to non-lawyers.
  • Strong client service ethic.  Proven track-record in working with different business teams and stakeholders, and in building strong internal and external relationships
  • Strong business acumen; the ability to see the big picture while executing on the appropriate details.
  • Able to work effectively both independently and as a team member.

Work is performed in a temperature-controlled office environment requiring little physical exertion.  The noise level in the work environment is low to moderate.  Mental concentration, attention to detail and computer use for extended periods of time is common.   Completion of complex tasks under deadline pressure may be required. This position may, on occasion, also require evening and weekend work based on business needs. Interruptions may occur.
