Your role will…
The Assistant General Counsel, Contracts and Corporate Maintenance serves as in-house legal counsel within the Legal department, focused on (i) drafting, reviewing, and negotiating commercial contracts and (ii) general corporate maintenance matters. This role partners closely with stakeholders across all divisions to advise on contract terms, obligations, and legal risk, and engages directly with potential clients and vendors during negotiation. Additionally, this role will be primarily responsible for routine general corporate maintenance matters. The position identifies and manages contractual and legal risk to protect the company's interests while supporting business objectives and ensuring timely completion of corporate maintenance tasks. By providing timely, practical legal guidance on business contracting matters, this role helps the company move commercial agreements forward efficiently while maintaining sound legal and risk standards.
All remote positions are based in the United States, and candidates must reside within the U.S. to be eligible for consideration.
Contract Drafting, Review, & Negotiation
  • Drafts, reviews, and negotiates a broad range of commercial contracts, including master service agreements, statements of work, non-disclosure agreements, and vendor agreements, on behalf of the company, independently managing routine and moderately complex matters.
  • Negotiates contract terms directly with internal stakeholders, potential clients and vendors, balancing legal risk against business objectives and escalating novel or high-risk issues to the Associate General Counsel.
  • Reviews and redlines contract language proposed by external counterparties, ensuring consistency with company standards, policies, and risk tolerance.
  • Advises internal stakeholders across all divisions on contract terms, obligations, and interpretation, translating legal language into practical business guidance.
  • Tracks contract negotiation status and maintains version control, ensuring timely execution and accurate internal record-keeping of finalized agreements.
  • Recommends improvements to standard contract templates and negotiation playbooks to streamline future contracting.
Legal Review
  • Researches and interprets laws, regulations, and industry standards affecting business contracts, and communicates implications to stakeholders across all divisions.
  • Reviews and advises on amendments, renewals, and terminations of existing agreements, coordinating with the internal stakeholder to confirm business intent.
  • Partners with the Associate General Counsel to escalate matters involving significant legal or reputational risk for further review.
  • Maintains current knowledge of company policy and applicable legal requirements to ensure contract terms remain compliant.
Risk Management
  • Identifies and assesses legal and contractual risk in proposed and existing agreements with clients and vendors, recommending mitigation strategies.
  • Advises internal stakeholders on risk exposure associated with contract terms, including indemnification provisions, limitation of liability, and terms related to emerging technology.
  • Flags recurring risk patterns or gaps in company contracting practices to the Associate General Counsel.
  • Supports the development and refinement of risk-related contract clauses and internal contracting guidelines to reduce the company's legal exposure.
  • Coordinates with internal stakeholders to gather the information needed to evaluate and resolve contract-related risk issues.
Corporate Maintenance
  • Prepare, edit, and maintain corporate resolutions, entity and D&O charts, and other corporate records as needed.
What You Need to Be Successful…
  • JD from an accredited law school and membership in good standing of any United States state bar.
  • 5-7 years of experience in law (firm, corporate, or both). Preferred: prior in-house legal department experience in commercial contracting and corporate maintenance.
  • Licenses/Certificates: Required: Active license to practice law (state bar admission in good standing). Preferred: Certified Commercial Contracts Manager (CCM) certification.
  • Knowledge and understanding of corporate law and procedures
  • Ability to understand laws and draft contracts related to delivery of services and products
  • Apply regulatory and legal knowledge in recommending trade-offs to help the decision-making process.

  • Familiarity with data privacy and confidentiality considerations as they arise in commercial agreements.

Our salary ranges are based on paying competitively for our size and industry, and are one part of the total compensation package that also includes annual bonus eligibility, benefits, and other opportunities at ReSource Pro. Individual pay decisions are based on a number of factors, including qualifications for the role, experience level, skillset, geography, and balancing internal equity relative to other ReSource Pro employees. This is a remote position and the salary range for most locations for this role is $96,655 - $163,676 annually. The salary range may vary based on the specific geographic location in which the candidate resides.

Skills Required

  • Juris Doctor degree from an accredited law school
  • Membership in good standing of any United States state bar
  • Active license to practice law with state bar admission in good standing

  • Knowledge and understanding of corporate law and procedures
