The role:
Reporting to our President & General Counsel, the Assistant General Counsel, Capital Markets, will be a key leader and trusted advisor on Palmetto’s Capital Markets team. The successful candidate will have a “builder” mentality with a willingness to roll up their sleeves to support and build critical legal and compliance functions and be a key player in developing cutting edge financial products and technology.
You will:
- Be a key leader and trusted advisor on Palmetto’s Capital Markets team
- Lead the negotiation and execution of complex transactions including credit facilities, purchases and sales of financial assets, joint ventures, tax equity financing, securitizations, and other complex transactions
- Be responsible for ongoing corporate governance of multiple complex entity and debt structures including deconsolidated joint venture entities, tax equity partnerships and other operating entities
- Lead the development of the company’s capital markets legal standard operating policies and procedures
- Support the company’s consumer finance business, starting with a focus on Third Party Ownership of assets and eventually consumer financial products
- Keep up-to-date with changes in relevant laws and regulations, and advise the company on any necessary adjustments to its capital markets practices
- Have strong leadership ability – can build and lead a team
- Provide clear and concise guidance to business units, particularly on novel and complex legal issues
- Proactively collaborate with stakeholders across the enterprise, including compliance, technology, risk, financial operations, and other key partners
- Support new product development and implementation
- Manage relationships with external legal counsel and other third-party service providers
Technical Skills:
- Hold a Juris Doctorate (J.D.) degree from an accredited U.S. university
- Licensed to practice law in at least one U.S. state
- 7+ years (minimum) of legal experience, either with a recognized U.S. law firm or in-house with a financial institution or renewable energy company
- Strong working knowledge of complex capital markets transactions
- Experience of working with consumer finance laws and regulations, compliance and risk management
- Experience in structured finance (Asset Backed Securities preferred), warehouse lending, securitizations, in-house experience in the renewable energy industry preferred
- Possesses the ability to anticipate legal issues/risk and guide accordingly, including seek creative, innovative solutions for complex business matters
- A broad based skill set, including exposure to corporate governance and public company issues is a plus
