We are seeking a talented individual to join our Legal, Compliance & Public Affairs team at Marsh, supporting our Alternative Investments business. This role will be based in Boston, and it is hybrid with a requirement of working at least three days a week in the office.

As Assistant General Counsel, Alternative Investments, you will be responsible for providing  strategic and tactical legal advice and support on a wide range of matters relating to the firm’s global private markets and hedge fund-of-funds products and separately managed accounts (“SMAs’”).

The successful candidate will work closely with the firm’s Investments, Operations, and Compliance teams, as well as other internal and external stakeholders, on a cross-jurisdictional basis. In this role you will oversee negotiations of  a variety of transactions, promote legal and regulatory compliance, and mitigate legal risks associated with the Alternative Investments practice of Mercer, a Marsh Business.

We will count on you to:

  • Provide expert counsel to the Investments and Operations teams regarding commercial and legal terms governing fund investments across Alternative asset classes (e.g., hedge funds, private equity, private debt, real estate, infrastructure) and investment types (e.g., primary investments, co-investments, GP- and LP-led secondaries).
  • Manage and oversee external counsel in the legal and tax due diligence of fund investments and negotiation of transactional documents across Mercer’s global private funds and SMAs, collaborating with colleagues and counsel across jurisdictions.
  • Lead negotiations on complex private markets deals involving Mercer’s global private funds and SMAs.
  • Manage timely delivery of projects and advice, including oversight of external counsel within agreed scope and budget.
  • Advise as needed on corporate actions issued by underlying investments (e.g., proposed fund amendments and consents).
  • Oversee all legal aspects in the development, launch and ongoing operation of Mercer investment funds and SMAs, including legal, regulatory and tax structuring, and drafting / reviewing and negotiating constituent documentation (e.g., limited partnership agreements, limited liability company agreements, and associated offering documents).
  • Advise Investments, Operations, Commercial, and Compliance teams on matters arising under the Investment Advisers Act and other securities laws, as well as Cayman Islands law, and other laws and regulations impacting Mercer’s private funds.
  • Oversee a team of paralegals and/or junior lawyers supporting the private funds transactions process.

What you need to have: 

  • A minimum of 7 years of experience advising on private funds (both closed-end and open-end), preferably at a law firm.
  • JD from a US accredited law school and license to practice, in good standing, in at least one of the fifty states.
  • Strong knowledge of the Investment Advisers Act and its application to private funds.
  • Familiarity with EU, UK, Canadian, and other non-US private fund structures and regulatory requirements.
  • Proven experience drafting and negotiating private fund transactional documents.
  • Excellent analytical, drafting, and negotiation skills.
  • Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities, including managing a team.
  • Strong communication and interpersonal skills, with the ability to explain complex legal concepts to non-legal stakeholders.

All Marsh colleagues are expected to be in their local office or working onsite with clients at least three days per week. Office-based teams will identify at least one “anchor day” per week on which their full team will be together in person.

The applicable base salary range for this role is $165,500 to $331,000.

The base pay offered will be determined on factors such as experience, skills, training, location, certifications, education, and any applicable minimum wage requirements. Decisions will be determined on a case-by-case basis. In addition to the base salary, this position may be eligible for performance-based incentives.

Skills Required

  • Minimum 7 years experience advising on private funds (closed-end and open-end)
  • Preferably prior experience at a law firm advising on private funds
  • JD from a US-accredited law school
  • License to practice law in good standing in at least one US state
  • Strong knowledge of the Investment Advisers Act and its application to private funds
  • Familiarity with EU, UK, Canadian, and other non-US private fund structures and regulatory requirements
  • Proven experience drafting and negotiating private fund transactional documents (LPAs, LLC agreements, offering documents)
  • Experience managing and overseeing external counsel and legal/tax due diligence
  • Experience leading negotiations on complex private markets deals and advising on corporate actions
  • Experience overseeing legal aspects of developing, launching, and operating investment funds and SMAs, including structuring and documentation
  • Ability to manage a team of paralegals and/or junior lawyers and handle multiple priorities
  • Excellent analytical, drafting, and negotiation skills
  • Strong communication and interpersonal skills, able to explain complex legal concepts to non-legal stakeholders
  • Experience advising on tax structuring considerations (UBTI, ECI, CFC/PFIC rules)
  • Based in Boston and able to work onsite at least three days per week (hybrid)
