Job Summary:
The VP, Transactions and M&A leads strategic partnership, investment, and acquisition initiatives that enhance business value and accelerate profitable growth. The position collaborates with leaders across the company to identify capabilities and technologies that are required to drive our growth strategies, identify potential partner companies that provide required capabilities and technologies, develop relationships with partner companies, establish goals for success for strategic partnerships. The position is primarily responsible for the Mergers and Acquisitions process overall, leading due diligence, executing on acquisitions and ensuring effective integration of newly acquired assets. The ideal candidate will be experienced in developing and managing strategic partnerships within a technology products, solutions, or services company. The VP, Transactions and M&A is also involved in key external relationships (e.g., investment banks and other channels) to evaluate and execute new investment opportunities, acquisitions, and joint ventures.
Responsibilities:
- Lead the development and implementation of the transaction and mergers strategy as a member of the Growth team.
- Lead the Strategy vertical within the Growth Team that counsels, drafts, and assists in the negotiation of corporate strategy, corporate development, and business development matters, including, but not limited to, strategic partnerships, collaboration agreements, joint development agreements, purchase agreements and all ancillary documentation to support these agreements.
- In collaboration with the legal department, review, draft, and negotiate highly complex acquisition agreements, strategic partnership agreements and other legal documentation with partners, customers, suppliers, and other parties, including, but not limited to, data use agreements, technology licensing agreements, joint research projects, and contracts with partners and vendors supplying products, services, data, or other intellectual property to Surescripts.
- In collaboration with the Legal department, manage, organize, and oversee the due diligence process to include educating internal stakeholders as to key issues of concern. Compile and assess feedback from the diligence process and interpret it into contractual protections or obligations. Draft and execute purchase agreements and all other documents necessary for mergers and acquisitions, including regulatory filings.
- Collaborate with Product Innovation and Network Technology and Operations to identify and prioritize capabilities and technologies that enable the Company strategy and drive growth.
- Engage with Sales and Account Management teams to understand customer needs and strategic partnership opportunities.
- Build relationships with potential strategic partners or potential acquisitions, develops and communicates plans for mutually beneficial business opportunities, and motivates potential partners to engage in strategic partnerships.
- Lead cross-functional teams to outline goals, structures, and requirements for execution of strategic partnerships and acquisitions.
- Assist the Customer team in negotiating and executing partnership agreements. Leads acquisition processes when the appropriate path forward is acquisition.
- Recommend operational strategies and plans to senior management and leadership regarding the achievement of terms with partners necessary to the Company’s goals for product deployment, revenue, and/or strategic initiatives.
- Partner cross-functionally and proactively to continuously improve upon existing processes and procedures to make corporate strategy, corporate development, and business development transactions more efficient and achieve greater speed to value.
- Represent Surescripts in industry events and participate in activities to build brand awareness and engagement among prospective partners.
- Network with industry influencers and venture capitalists to form potential partnerships in both startup small companies as well as the big players. This will also require the ability to deal screen: call and/or meet with prospects and evaluate opportunities
- Identify key influencers that can act as agents or representatives of Surescripts as it enters the market, build relationships and stay attuned to technology associations looking to further healthcare
- With any potential partnership, investment or acquisition perform due diligence:
- Gather information from target company and industry experts
- Research and talk to existing references and customers of the target company
- Research potential competitors to the target company
- Research and talk with technical/business consultants to evaluate the target company’s technology
- Help prepare internal investment memos to board
- Prepare presentations and on-going market updates to CEO, Board, and/or ET on investment, partnership, new venture, M&A and related trends
Qualifications:
Basic Requirements:
- Juris Doctor Degree from an ABA-accredited law school and good standing member of the bar in at least one state
- 10+ years of experience as a practicing attorney drafting asset or stock purchase agreements and strategic partnership agreements to include negotiating them to successful conclusion.
- 7+ years of experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property.
- 5+ years of that legal experience focused on M&A, start-up/early stage company work or commercial law
- Demonstrated success in building and managing relationships with business partners
- Ability to articulate a vision and build consensus among a diverse group of stakeholders
- Outstanding communication and presentation skills (written and verbal) including to CEO and Board level audiences
- Ability to travel to industry conferences and meetings with potential and current partner companies
Preferred Qualifications:
- Experience at a larger healthcare/tech company in business development, partnerships, venture investments, and acquisitions
- Proactive, practical, solution-oriented approach
- Experience in acquiring and integrating companies
- Demonstrated knowledge and success in the healthcare technology industry
- 3+ years of people management experience or experience in roles showing progressive leadership

At Surescripts, base pay is one part of our Total Rewards Package (which may also include bonus, benefits etc.) and is determined within a range. The base pay range for this position is $240,300 - $293,700 per year. Your base pay may vary within or outside of this range depending on a number of factors, including (but not limited to) your qualifications, skills, experience, and location.
