Wells Fargo is seeking a Lead Company Secretary to provide legal support to the Legal Departments across the APAC region, with a strong focus on company secretarial matters for APAC legal entities.
As part of the International Company Secretarial team, the Lead Company Secretary will support the Corporate Governance Team, which is responsible for legal entity lifecycle management and governance, entity database management, corporate records maintenance, and the facilitation of strategic transactional initiatives.
In this role, you will:
- Perform corporate secretarial functions including coordinating subsidiary board meetings, drafting and/or reviewing by-laws, articles, operating agreements, partnership agreements, capitalization tables, stock registers/transfer documentation, minutes, resolutions, secretarial certifications and other corporate actions and other administrative responsibilities;
- Organizing and preparing agendas and papers for board meetings, committees and annual general meetings; taking minutes, lodging required forms, annual returns and other correspondence with Regional Company Registrars (including liaising with service providers);
- Managing the formation/acquisition, registration, ongoing maintenance and disposition of new and existing legal entities (corporations, limited liability companies, partnerships, trusts and other forms of legal entity) and investments;
- Provide transactional support for mergers, dissolutions, acquisitions, investments, contributions, dividends, asset sales and other corporate transactions;
- Follow up on matters from meetings;
- Coordinate with teams in different jurisdictions.
- Review legal/transaction documents and associated correspondence.
- Maintain statutory registers or books including registers, overseeing certain regional company and regulatory filings.
- Responsible for database/document management and ensuring the integrity of data maintained in Wells Fargo's Systems of record for legal entity information.
- Resolve issues where substantial expertise is required to analyze relevant law, regulations, policies and guidelines.
- Assist in providing guidance to and working collaboratively with the business and the other Company Secretarial team members to ensure that materials presented to Boards and Committees are consistent, concise and succinct.
- Working collaboratively within the Company Secretarial team to ensure resources are allocated to the highest priority activities resources are allocated to the highest priority activities
- 5+ years of company secretarial experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
- 5+ years' relevant experience including 3+ years of company secretarial or similar technical corporate governance experience or;
- 5+ years' relevant experience working at a mid-large size law firm or the law department of a large public company, financial services firm or a financial regulator with significant legal entity governance, corporate transactional and/or regulatory structure reporting experience.
- ICSA qualification or equivalent experience.
- Strong experience in providing support in company secretarial matters to Board and Board Committees
- Previous corporate company secretarial experience within a banking environment
- Strong networking and relationship management skills
- Have a strong understanding of corporate governance within a US corporate group structure
- Be highly-motivated, have good interpersonal skills and the ability to work as part of a broader team.
- Have excellent drafting, minute taking and negotiation skills.
- Have a mature, flexible, proactive and creative approach to their work.
- Be able to manage projects independently
