As the company continues to scale, we are establishing a senior legal presence in Malta operating under the direction of the Chief Legal Officer while working closely with the executive leadership team.

The Role

This is not a traditional in-house counsel role.

We are looking for a Vice President of Legal to serve as the Chief Legal Officer’s senior legal representative in Malta, reporting directly to the CLO and operating under their strategic direction.

The VP Legal will work closely with the executive team in Malta while ensuring alignment with the broader legal strategy led by the CLO and the legal team in Cyprus.

The role acts as a strategic bridge between the Malta headquarters and the group’s international operations, supporting legal matters across multiple jurisdictions.

This position is suited to a senior lawyer from a leading law firm seeking to move closer to business leadership and operate at an executive level within a global organisation.

Key Responsibilities

Legal Advisory

Serve as the primary legal advisor on the ground in Malta.

Provide legal guidance on matters including:

• Drafting and reviewing SPAs and commercial contracts
• Employment decisions and disciplinary actions
• Commercial negotiations
• Corporate governance matters
• Contractual disputes
• Operational and reputational risk

Ensure leadership receives clear legal guidance before matters escalate into disputes or litigation.

Coordination with Group Legal Team

Work directly with the Chief Legal Officer and legal team in Limassol, Cyprus.

Responsibilities include:

• Ensuring legal matters from Malta are properly assessed and structured
• Coordinating with the broader legal team when required
• Escalating strategic or high-risk matters to the CLO
• Maintaining alignment with group legal strategy and governance

Employment & HR Legal Oversight

Partner with HR leadership on employment-related legal matters across the group.

Advise on:

• Employee terminations and disciplinary procedures
• Employment contracts and internal policies
• Workplace disputes and risk mitigation
• Cross-border employment compliance

Leadership requires legal advice that is practical, clear, and timely in a fast-moving environment.

Corporate Structure & Global Entities

Support the review and consolidation of the group’s corporate structure.

Responsibilities include:

• Reviewing and consolidating multiple group entities
• Supporting the creation of new international entities
• Coordinating corporate governance matters across jurisdictions
• Working with external counsel on international structuring

The objective is to maintain a clean and scalable legal structure that supports global growth.

M&A and Strategic Transactions

Support acquisitions, partnerships, and strategic investments.

Responsibilities include:

• Legal due diligence
• Deal structuring
• Negotiation of transaction documentation
• Coordination with external advisors and counsel

You will work directly with the executive team on strategic expansion initiatives.

Supplier & Commercial Agreements

Review and negotiate agreements with suppliers, partners, and vendors across global operations.

This includes agreements related to:

• Global event operations
• Media partnerships
• Data and technology services
• Sponsorship and commercial arrangements

The goal is to protect the business legally while supporting commercial momentum.

Dispute Prevention & Litigation Management

Identify legal risks early and prevent disputes where possible.

Where disputes arise:

• Advise leadership on legal exposure
• Coordinate litigation strategy with external counsel
• Support pre-litigation negotiations and settlements

The focus is practical resolution and risk mitigation.

Legal Operations & Team Support

Work with the Chief Legal Officer to strengthen legal infrastructure across the group.

Responsibilities include:

• Improving legal processes and documentation standards
• Coordinating with external counsel globally
• Supporting legal governance across jurisdictions
• Hiring and managing a Corporate Administrator for entity management and legal administration

This role helps build the operational backbone of the legal function as the company scales.

What We’re Looking For

• 10+ years of legal experience, ideally in a leading law firm
• Warranted lawyer in Malta or eligible for warranting
• Strong background in corporate, employment, and commercial law
• Experience advising senior executives and boards
• Experience working across multiple jurisdictions
• Strong negotiation and risk assessment skills
• Ability to operate in a fast-paced entrepreneurial environment
• Experience coordinating external counsel globally
