THE OPPORTUNITY

The Vice President, Business Development Transactions (Temporary)  will serve as the Company's senior transaction lead for strategic partnering activities, with primary responsibility for structuring, negotiating, and executing complex business development transactions involving the Company's oncology portfolio. Reporting to the Chief Business Officer, this individual will provide expert transactional leadership across the full deal lifecycle, including confidentiality agreements, term sheets, diligence processes, definitive agreements, and post-signing governance support.

The successful candidate will partner closely with Research, Development, Commercial, Finance, Legal, Intellectual Property, Alliance Management, and Executive Leadership teams to maximize the value of the Company's clinical-stage and preclinical oncology assets through regional and global licensing, co-development, co-commercialization, collaboration, option, and platform transactions.

This role requires exceptional deal judgment, strong negotiation skills, deep understanding of biopharmaceutical transaction structures, and the ability to drive negotiations with senior executives and external counsel representing global biotechnology and pharmaceutical companies.

WHAT YOU'LL DO

Transaction Leadership

  • Lead, or support the CBO in leading, the negotiation and execution of strategic partnering transactions involving oncology therapeutics, technology platforms, and related intellectual property.
  • Serve as one of the Company's principal negotiators for non-binding term sheets, letters of intent, option agreements, collaboration agreements, license agreements, co-development agreements, and other strategic transactions.
  • Develop transaction structures and economic frameworks that maximize asset value while aligning with corporate objectives.
  • Identify key business, legal, regulatory, intellectual property, financial, and operational risks and develop strategies to mitigate such risks during negotiations.
  • Drive transactions from initial engagement through signing and closing, coordinating all internal stakeholders.

Deal Strategy and Structuring

  • Advise senior management regarding optimal transaction structures, including:
  • Global and regional licensing arrangements
  • Co-development and co-commercialization partnerships
  • Platform and technology licensing transactions
  • Research collaborations
  • Option-to-license structures
  • Asset acquisitions and divestitures
  • Develop and negotiate financial terms, including:
    • Upfront payments, development and regulatory milestones, commercial milestones, royalties
    • Profit-sharing arrangements
    • Cost-sharing mechanisms
    • Equity investments and related strategic considerations

Negotiation and Contracting

  • Lead negotiations with counterpart business development teams, senior executives, and external counsel.
  • Work closely with internal and external legal counsel to negotiate definitive agreements.
  • Ensure alignment between business objectives and contractual provisions.
  • Maintain consistency in transaction precedents, templates, and negotiation playbooks.

Portfolio and Business Development Support

  • Support evaluation of partnering opportunities for oncology programs and technology platforms.
  • Contribute to business case development and valuation analyses.
  • Provide transactional expertise during partner outreach, management presentations, and negotiations.
WHO YOU ARE AND WHAT YOU BRING

Required

  • Advanced degree in life sciences, business, law, or a related discipline (PhD, MD, MBA, JD, or equivalent preferred).
  • 12+ years of biotechnology, pharmaceutical, business development, legal, investment banking, consulting, or related experience.
  • Significant experience negotiating and executing biopharmaceutical licensing and collaboration transactions.
  • Demonstrated expertise negotiating complex term sheets and definitive agreements.
  • Deep understanding of drug development, intellectual property, regulatory pathways, and biopharmaceutical commercialization.
  • Strong financial and valuation acumen.
  • Excellent communication, presentation, and stakeholder management skills.
  • Proven ability to influence senior executives and lead cross-functional teams.

Preferred

  • Experience supporting transactions involving oncology therapeutics and immuno-oncology programs.
  • Experience with both preclinical and clinical-stage assets.
  • Prior experience negotiating transactions with large pharmaceutical companies.
  • Familiarity with global partnering structures, including ex-U.S. regional licensing arrangements.
