Overview

As a division of PJT Partners, situated under the PJT Park Hill umbrella, the Secondary Advisory practice is one of the most experienced investment banking teams in the industry, and has been involved in some of the largest, most complex transactions since the team’s founding in 2008. The practice is fully integrated within the broader PJT Partners platform, leveraging the firm’s global relationships to deliver superior results across the private capital universe. Our highly specialized team focuses on delivering independent advisory and execution services to financial sponsors and institutional investors across a broad spectrum of strategic transactions including:

  • Financial Sponsor Solutions: Fund recapitalizations, fund restructurings, tender offers, preferred equity / other debt oriented solutions, management team spinouts and portfolio asset sales
  • Structured Liquidity Solutions: Securitizations, refinancings of illiquid financial holdings and joint ventures 
  • Institutional Investor Solutions: Divesture of private fund interests, valuation of private fund interests, transaction structuring and execution support

PJT Partners is seeking to hire a highly-motivated individual to join its global secondary advisory business as a Transaction Execution Associate/Analyst to spearhead the closing process for complex transactions involving the secondary sale of portfolios of private fund interests.  This role requires an individual who (i) is comfortable working within a fast-paced and energetic environment, (ii) possesses strong interpersonal and organizational skills, and (iii) is a consummate team player.  This role will work closely and coordinate with PJT commercial and legal team members as well as the legal teams of various transaction counterparties.  This is a great opportunity for someone who can work independently and as part of a team.

Responsibilities
  • Providing support for and coordination with the various transaction counsels to oversee and manage the overall secondary transaction closing process, transaction document review, and approvals through the closing process
  • Producing and updating transaction trackers to facilitate daily/weekly reports of outreach, responses and tracking key transaction milestones during various transaction phases
  • Tracking key dates and terms (ROFO notices, payment of invoices, KYC/AML submission deadlines, escrow status, etc.) and providing informal guidance/reminders to clients regarding the same
  • Providing regular updates to clients and the PJT deal team on a weekly basis
  • Where required, interacting directly with potential buyers of portfolio interests as part of their diligence
  • Assistance with the review and negotiation of NDAs, engagement letters and letters of intent
  • Working with technology team to standardize and streamline workflow for repeat transaction events and processes
  • Providing input to and presenting within client pitches to highlight PJT’s transaction management capabilities and the benefits thereof 
Qualifications

PJT Partners seeks to hire individuals who are highly motivated, intelligent and have demonstrated excellence in prior endeavors. In addition, qualified candidates will possess the following:

  • Minimum 2 years as working a Paralegal or solicitor on private fund and/or other corporate transactions. Experience in investment funds and/or secondary transactions would be an asset
  • University Degree in Law or Finance preferred
  • Exceptional communication skills, including demonstrated comfort and facility with both written and oral communication
  • Team-oriented mentality with a strong work ethic and desire to learn
