Voya Financial is seeking a highly skilled and strategic Mergers and Acquisitions (M&A) Leader to spearhead our corporate transactions within the dynamic sectors of wealth & retirement, employee benefits, and investment management. The ideal candidate will possess extensive experience in leading M&A initiatives, demonstrating a deep understanding of market dynamics, financial modeling, strategic planning, and integration processes. Working closely with the company’s Chief Strategy and M&A Officer, this individual will play a critical role in driving our growth strategy through identifying, evaluating, and executing merger and acquisition opportunities that align with our corporate objectives.

Key Responsibilities:

Strategic Planning: Develop and implement the M&A strategy in alignment with the company's long-term business goals, focusing on growth, diversification, and value creation.

Market Analysis: Conduct comprehensive market research and competitive analysis to identify potential acquisition targets, joint ventures, and strategic partnerships.

Due Diligence: Lead the due diligence process for acquisition targets, assessing financial, legal, operational, and cultural aspects to ensure informed decision-making.

Financial Modeling: Create robust financial models to evaluate potential transactions, including valuation analysis, pro forma financial statements, and synergy assessments.

Negotiation: Negotiate terms and agreements with target companies, ensuring alignment with corporate strategy and compliance with regulatory requirements.

Integration Planning: Working collaboratively with the company’s strategic execution and business leads, develop and oversee integration plans post-acquisition, ensuring seamless transition and alignment of corporate cultures, operational efficiencies, and strategic objectives.

Cross-Functional Collaboration: Work closely with internal stakeholders, including finance, legal, compliance, HR, and operations, to ensure alignment and support for M&A initiatives.

Stakeholder Communication: Communicate effectively with the executive team, board of directors, and other stakeholders about M&A activities, progress, and outcomes.

Performance Monitoring: Establish metrics and KPIs to evaluate the success of M&A transactions and continuously improve the process.

Qualifications:

Bachelor’s degree in Finance, Business Administration, or a related field (MBA or JD preferred).

15+ years of experience in M&A or corporate development, preferably within the insurance, wealth & retirement, group benefits, or investment management sectors.

Proven track record of executing successful M&A transactions from inception to integration.

Strong understanding of financial statements, valuation methodologies, and corporate finance principles.

Experience in working with private equity, investment banks, and other financial institutions.

Project Management: Strong project management skills to oversee complex transactions and ensure timely execution.

Regulatory Knowledge: In-depth knowledge of regulatory environments and compliance requirements relevant to mergers and acquisitions in the financial sector.

Compensation Pay Disclosure:

Voya is committed to pay that’s fair and equitable, which means comparable pay for comparable roles and responsibilities.

The below annual base salary range reflects the expected hiring range(s) for this position in the location(s) listed. In addition to base salary, Voya offers incentive opportunities (i.e., annual cash incentives, sales incentives, and/or long-term incentives) based on the role to reward the achievement of annual performance objectives. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Voya Financial is willing to pay at the time of this posting.

Actual compensation offered may vary from the posted salary range based upon the candidate’s geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.
