We are seeking a visionary and experienced professional to join the Polyphonic™ team as our Senior Manager, Commercial & AI Contracting. This role is critical to architecting the global commercial and legal contracting framework that will drive the growth of Johnson & Johnson MedTech's Polyphonic™ digital platform—an open digital ecosystem designed to harness the power of AI-driven innovation and connect surgical data, teams, and insights across the perioperative journey.

Reporting to the global Commercial Operations lead in the Growth and Engagement team, you will serve as a key partner to the lead global attorney for Polyphonic, shaping deal strategy and ensuring our commercial constructs globally are as innovative as our technology. You will be at the center of a cross-functional team, collaborating with Sales, Marketing, Legal, Regulatory, Health Compliance, Communications, and Pricing to structure deals with healthcare  Polyphonic customers.

You will be responsible for:

  • Leading the end-to-end deal lifecycle for complex technology transactions, and commercial contracts from strategic negotiation to final contract execution for Polyphonic™ solutions, including our connected device solutions and our enterprise solutions, as well as our emerging Polyphonic™ Studio and Polyphonic™ Store.

  • Serving as the commercial subject matter expert on key strategic contractual issues, including privacy, data rights, intellectual property, AI development, and data flows. As this is a global role, it will involve coordinating with country-level SMEs cross-functionally to ensure locally appropriate contracts.

  • Drafting and negotiating a high volume of customer facing  agreements, including SaaS, AI/ML, connected MedTech devices and digital solutions licensing contracts.

  • Developing a deep partnership with the lead global attorney to translate Polyphonic’s global legal strategy into actionable commercial terms and scalable contracting processes.

  • Ensuring all contracting activities align with global regulations, including anti-bribery, transparency laws, and healthcare compliance (HCC).

  • Driving continuous improvement in the quote-to-contract process, with a goal of creating scalable, efficient workflows for complex capital and digital deals.

  • Driving pricing execution, CPC required information, escalations, and downstream pricing workflows.

  • Collaborating with the Operations team and Customer Success team to ensure that our contracts and the KPIs within them are adhered to, with the proper process and documentation followed.

  • Collaborating closely with counterparts across Johnson & Johnson MedTech (e.g., Ottava, Monarch) to ensure a cohesive commercial strategy.

Qualifications & Requirements:

  • Juris Doctor (JD) is required; active bar admission is preferred but not mandatory.

  • A minimum of 7-10 years of relevant experience in structuring, negotiating, and drafting complex commercial and technology agreements.

  • Deep expertise in the commercial and contracting landscape of SaaS in healthcare, AI/ML products, and digital platforms.

  • Strong understanding of the key legal and business issues in digital health, including intellectual property, data privacy (e.g., HIPAA, GDPR), cybersecurity, anti-kickback statutes, and data rights.

  • Proven ability to lead cross-functional collaboration with teams such as Sales, Customer Success, Legal, Finance, Marketing, and Regulatory Affairs.

  • A strategic mindset with the ability to balance business objectives with legal commercial risk and navigate ambiguity in a rapidly evolving industry.

  • Experience with Contract Lifecycle Management (CLM) systems and a passion for process automation and efficiency.

  • Experience working in a global role with perspectives on international applications of contract management is preferred

Other:

  • The preferred location of this role is Santa Clara, CA. Remote work will be considered on a case by case basis within the US.

  • This role may require up to 10% travel (International and Domestic). If role is based remotely, outside of the Bay Area, CA., anticipated travel may increase to 30%.

  • The anticipated base pay range is $122,000 to $212,750

    • If based out of the Bay Area, CA. the anticipated base pay range is $142,000 to $244,950
