JOB BRIEF:
We are looking for a Legal Associate to handle US and India legal processes and add value to and be
the legal backbone of our business. You will ensure that company always operates within the law,
offer counsel on legal issues, create an effective guardian of the organization and facilitate business
strategies development. The successful candidate will be able to ensure legal compliance and limit
risk exposure.
RESPONSIBILTIES:
• Provide expert and strategic legal advice tomanagement
• Set internal governance policies and manage the impact of external factors
• Evaluate and weigh multiple inputs and impacts of any decision or course of action
• Anticipate issues and estimate risksstrategically
• Identify proactive solutions that will eliminate or mitigate risks
• Base your decision-making process on ethics and integrity
• Create associations of trust and respect with key stakeholders
• Representation of Corporate Entity on legal formulations of policy planning and enforcement
• Perform legal research, compliance, due diligence related work
• Reviewing, and drafting a variety of agreements - mark up and spotting inconsistencies (MSA,
NDA, employment agreements, vendor agreements, etc.)
• Providing information and maintaining contract records and contract repository
• Helping various companies preparing and finalizing their Employee Stock Option Plans Policy
(ESOP Policy) and staying updated with the latest amendments
• Attract, develop, direct, motivate and drive performance fromteam
• Draft agreements that minimize risks and maximize legalrights
• Meet legal objectives
• Deal with complex, significant matters that cut across legal and relatedareas
• Keep abreast of legislative change
Requirements
QUALIFICATION: -
1. Education and Experience
• Bachelor’s degree in law (BA LL. B/ LL.B.) or J.D. degree from US
• Master’s in business law is preferable and will be considered an asset to EVC.
2. Work Experience
• Minimum of 2 to 5 years of experience at law firm or as in-house counsel and/or in legal
outsourcing
3. Work Requirement
• Travel may be required for business purpose
• Fluency in English with strong oral and written communication skills.
4. Skills and Knowledge
• Proven general counseling experience in business environment
• Overall broad legal knowledge and experience in corporate law, litigation, labor laws, etc.
• Ability to recommend high quality and timely advice for risk mitigation by efficiently analyzing
business and legal implications
• Competent understanding of relevant company policies and exercises excellent judgment to apply
company policy and procedure in risk mitigation
• Research and drafting
• Strong time management, prioritization, organizational, and analytical skills
• Able to work with internal and external teams, and understands delivery requirements
• Extensive knowledge of Corporate Legal Governance Framework
• Knowledge and experience in managing regulatory compliances with local, state, and federal laws
• Ability to work under pressure, with exposure to senior leadership
• Well-versed in business and finance operation
• High degree of professional ethics, integrity and gravitas
• Effectively manage priorities and stakeholder expectations
• First class interpersonal and communication skills
• Ability to anticipate legal issues or risks and to see around the corne
Skills Required

- Experience drafting, reviewing, and negotiating commercial agreements (MSA, NDA, employment, vendor agreements)
- Proven general counseling experience in a business environment and corporate legal governance knowledge
- Knowledge and experience managing regulatory compliance with local, state, and federal laws
- Experience with ESOP policy preparation and staying updated with relevant amendments
- Strong legal research, drafting, time management, prioritization, and analytical skills
- Fluency in English with strong oral and written communication skills
- Ability to work with internal and external teams, manage stakeholder expectations and operate under pressure
- High degree of professional ethics, integrity, and gravitas
- Willingness to travel for business purposes
