Job Description:

Zscaler is seeking a Senior Counsel with broad technology transactional experience including 7+ years of public sector (both Federal and SLED) experience to join our growing legal team. The Senior Counsel will provide legal support for complex outbound sales negotiations for federal and other public sector opportunities, as well as strategic leadership and counsel for the development of Zscaler’s growing public sector business.  Additionally, this role will provide strategic support for Zscaler’s expanding federal practice and developing international markets by facilitating the associated compliance framework for such markets.  This role will have significant interaction with the company’s sales management, internal business units, and customers nationwide. We are seeking an outstanding lawyer who can manage multiple responsibilities and tasks in a fast-paced and high-growth environment.  The ideal candidate will be a true field leader and possess an executive presence that will make them effective and persuasive in dealing with and building relationships with customers as well as senior management. They will help Zscaler continue to build and sustain a fast-growing global business and will have a proven track record of leading complex public sector transactions. This role will report into our Senior Director of Legal based on the East Coast.

Responsibilities:

  • Lead, counsel, and oversee outbound public sector licensing and complex transactional matters for
  • Zscaler, including transactions involving channel partners and subcontracting arrangements;
  • Counsel business units in order to support business initiatives and internal compliance related to
  • public sector requirements, in addition to a wide range of legal and regulatory issues;
  • Facilitate and maintain relationships with customers and partners;
  • Deliver pragmatic, opportune, and business-oriented legal counsel to Zscaler’s customers,
  • partners, and internal stakeholders.

Requirements:

  • JD from a recognized U.S. law school and licensed to practice, and/or eligible for in-house registration;
  • 7+ years’ broad-based experience with a leading software or technology company;
  • 5+ years’ experience with US federal and SLED transactions;
  • Specific experience in a SaaS, cloud computing, and/or enterprise software;
  • In-depth knowledge of relevant federal laws and initiatives such as CMMC, Zero Trust, Supply
  • Chain, FedRAMP, FAR/DFARS, as well as those requirements unique to contracting with federal and state government;
  • Understanding of data protection and privacy related to CUI, PII, and classified document data.
  • Experience with establishing a Facility Clearance with Defense Counterintelligence Security Agency;
  • Experience with legal entities relating to Foreign Ownership Control or Influence (FOCI);
  • Experienced in international business development, contracting and regulatory compliance matters, including ITAR, ISMAP, EAR, FCPA, and trade compliance regulations;
  • Excellent contract negotiation and drafting skills;
  • Superior business judgment and the ability to address complex opportunities and issues in creative and effective ways;
  • Experience counseling organizations on public sector requirements and compliance issues,including the creation of a separate business unit for public sector;
  • Flexibility and eagerness to work hard in fast-paced environment and meet tight deadlines (especially at quarter end);
  • A strong team player who can work well with Zscaler colleagues in Compliance, Sales, Finance, and other functions.
  • Active security clearance is not required but a plus.

Zscaler’s salary ranges are benchmarked and are determined by role and level. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations and could be higher or lower based on a multitude of factors, including job-related skills, experience, and relevant education or training.

The base salary range listed for this full-time position excludes commission/ bonus/ equity (if applicable) + benefits.

Base Pay Range

$161,000$220,000 USD
