Position Summary:
We are seeking a skilled and motivated legal professional to join our Legal Department and provide critical legal support for our ETF and mutual fund businesses. This role offers the opportunity to work on cutting-edge 1940 Act fund products while also gaining exposure to other areas of our fast-paced and evolving business.
Essential Job Functions[1]:
- Manage regulatory and legal issues on behalf of ProShares including legal issues relating to cutting-edge ETF products and issues impacting ProShares business as an investment advisor
- Prepare, review and maintain registration statements and other regulatory filings, including SEC, CFTC and NFA filings
- Assist with all aspects of board meetings and the preparation of board materials.
- Coordinate use of outside counsel, as necessary.
- Assist in contract negotiation, management and oversight of relationships with third party service providers to the Fund.
- Other duties and responsibilities as assigned.
Education and Experience:
Experience required to fill this position should include current and substantial practical experience involving the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933. Experience with derivative contracts and commodities a plus. Prefer candidates with the following specific requirements:
- JD degree with 7+ years of experience in a law firm, in-house legal team, or SEC.
- Knowledge of mutual funds and ETF regulations and operations.
- Experience working with and supervising outside counsel and other service providers

- Strong ability to balance competing priorities and assess legal risks in a fast-paced environment.
- Excellent written and verbal communication skills.
- Outstanding analytical and organizational abilities.
- Ability to work independently while also collaborating within a cross-functional team.
The compensation for this position includes salary and incentive pay. The annual base salary range for this role is $150,000 to $220,000 (USD), which does not include discretionary bonus compensation. Total compensation may vary based on experience, role, location, department, and individual performance.
